AGREEMENT TO PROVIDE LEGAL SERVICES THIS AGREEMENT, dated June , 2022, is made between the client, WEST ORANGE OFFICE EXECUTIVE PARK, LLC, 10 Rooney Circle, West Orange, NJ 07052, referred to as “You” or “Client,” and RENAUD DEAPPOLONIO LLC, whose address is 190 North Avenue East, Cranford, New Jersey 070l6, referred to as the “Law Firm”, 1. Legal Services to be Provided. You agree that the Law Firm will represent the Township of West Orange in tax year 2017 appeals regarding premises in the Township of West Orange commonly known as 10 Rooney Circle, 100 Executive Drive, 200 Executive Drive, and 300 Executive Drive. The legal work includes all review, research, investigation, correspondence, preparation and defense of the appeals, and any possible settlement thereof. 2. Additional Legal Services. If you need any other services which may or may not be related to the above matter, you and the Law Firm may make a new agreement to provide the other services. 3. Legal Fees. The Law Firm cannot predict or guarantee what your final bill will be. This will depend on the amount of time spent on your case and the amount of other expenses. A. Initial Payment. The Law Firm will begin work on your case upon receipt of a $ 10,000.00 Retainer. B. Minimum Fee. You agree to pay a minimum of $ 0 for legal services regardless of the amount of time actually spent on this case. C. Hourly Rate. You agree to pay the Law Firm for legal services at the following rates: Rate Per Hour Services of $ 225.00 All attorneys $ 125.00 All paralegals/legal assistants D. All Services Will be Billed. You will be billed at the hourly rates set forth in paragraph 3C for all services rendered in increments of .1 hours, provided that there will be a minimum .2 hour charge for all services. This includes telephone calls and emails (all charges will bear a minimum charge for 12 minutes), dictating and reviewing letters, drafting legal documents, travel time to and from meetings and court proceedings, legal research, negotiations and any other service relating to this matter. 4. Costs and Expenses. In

In addition to legal fees, you must pay the following costs and expenses: Experts’ fees, court costs, accountants’ fees, appraisers’ fees, service fees, investigator fees, deposition costs, messenger services, photocopying charges, telephone toll calls, postage and any other necessary expenses in this matter. The Law Firm may require that expert(s) be retained directly by you. You would then be solely responsible to pay the expert(s). 1
5. Bills. The Law Firm will send you itemized bills from time to time. The Law Firm may require that costs and expenses (see paragraph 4) be paid in advance. All other bills for costs and legal expenses are due upon receipt. You will be charged interest at a yearly rate of 12% on any remaining balance not paid within thirty (30) days from the date of the bill. 6. Your Responsibility. You must fully cooperate with the Law Firm and provide all information relevant to the issues involved in this matter. You must also pay all bills as required by this Agreement. If you do not comply with these requirements, the Law Firm may ask the Court for permission to withdraw from representing the Township of West Orange. The Law Firm will also withdraw at your request, provided that the Township of West Orange consents. 7. No Guarantee. The Law Firm agrees to provide conscientious, competent and diligent services and at all times will seek to achieve solutions which are just and reasonable to you. However, because of the uncertainty of legal proceedings, the interpretation and changes in the law and many unknown factors, attorneys cannot and do not warrant, predict or guarantee results or the final outcome of any case. 8. Additional Conditions. (a) This agreement shall not be effective until and unless Client provides the Law Firm with a retainer in the sum of $10,000.00, which shall be held by the Law Firm in trust until the tax appeals which are the subject of this agreement have been finally resolved and all legal fees and expenses have been paid, at which time the $10,000.00 retainer will be returned to the client. Client and the Law Firm agree that the retainer may be applied to the final bill by the Law Firm. Any balance not applied to the bill shall be returned to the client. (b) Client authorizes attorney to sign a retainer agreement with Hendricks Appraisal to provide appraisal services on its behalf in connection with the tax appeals and authorizes the Law Firm to request services from the appraiser, such as preparation for trial, attendance at depositions or trial, or such additional services as are deemed necessary or advisable in the sole discretion of the Law Firm. Client understands and agrees that the Law Firm does not agree to pay the fees of Hendricks Appraisal and that Client is required to do so. (c) This

182-22 July 19, 2022 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) has acquired 10 Rooney Circle in the Township (the “Property”); and WHEREAS, the Property has an expansive parking lot; and WHEREAS, the Township has begun construction on a new public library with grant funds from the Library Bond Construction Act; WHEREAS, the Township Council has approved a short-term License Agreement to permit the parking of certain trucks during certain afternoon/evening hours; and WHEREAS, the Licensee has asked permission to park such vehicles overnight; and WHEREAS, the Township has received no complaints concerning the existing License Agreement; and WHEREAS, the License is subject to termination on 10 days’ notice if required for any reason; and WHEREAS, the parking will not inhibit the progress of the library construction and all ancillary work; THEREFORE, IT IS HEREBY RESOLVED, that the Township Council for the Township of West Orange that the addendum annexed hereto as Exhibit “A” may be executed by the Mayor and attested to by the Municipal Clerk; and it is further RESOLVED that a copy of the License Addendum shall be available for inspection and copying in the Municipal Clerk’s office during normal business hours in accordance with applicable law. 182-22 Remarkable Foods Hospitality, LLC 42 Jackson Drive Cranford, NJ 07016 May 4, 2022 The Township of West Orange 66 Main Street, Room 111 West Orange, NJ 07052 Attn: John Gross, Business Administrator/Chief Financial Controller Dear Mr. Gross, This letter is an agreement (the “Agreement”) between Remarkable Foods Hospitality, LLC (“RF”) and The Township of West Orange (“Township”) relating to RF’s use of and access to the parking lot located at 10 Rooney Circle, West Orange, NJ 07052 (the “Parking Lot”) on the following terms: Purpose – During the Term (defined below), RF and its affiliates shall be permitted to use and access the entire Parking Lot to park its specialized food preparation and delivery vehicles (“Vehicles”), commonly known as sprinter vans, which it utilizes as mobile kitchens, and, if needed, to place a port-A-john and dumpster on-site, at its sole cost, in a parking space mutually agreed upon with the Township. Term – The “Term” will start on May 4, 2022 (the “Effective Date”) and continue on a month- to-month basis until either party gives the other party 10 days’ prior written notice of termination (the “Term”), in which case RF will pay all amounts due through the termination date. Parking Fee – The aggregate fee to use the Parking Lot as of the Effective Date will be $3,000 per month (pro-rated for any partial month) during the Term, to be paid monthly in advance. The fee is inclusive of all charges. Upon signing this Agreement, RF will pay the prorated fee due for the first month. the Township will continue to pay all taxes and utility bills during the Term and shall not pass-through any such charges to RF. Use of Parking Lot – RF and its affiliates will have the right to use the Parking Lot between the hours of 3:30 PM and 10 PM EST, 7 days per week. RF agrees to maintain the area of the Parking Lot in which its Vehicles are parked, the dumpster and the port-a-john in a neat and sanitary condition throughout the Term to the extent caused by RF or its operations, and to dispose of all trash and debris resulting from its operations. Surrender – Upon the expiration or earlier termination of the Term, RF will remove its Vehicles (and port-a-john and dumpster, if

Compliance - RF shall abide by the provisions of the Township Code applicable to RF’s particular manner of operations within the Parking Lot. Insurance – RF shall maintain at all times while this Agreement is in full force and effect, the following insurance coverage with an insurance company or companies reasonably acceptable to the Township, with limits not less than those shown below. An ACORD certificate of insurance shall be provided to the Township on or prior to commencement of the Term of this Agreement.
Commercial General Liability (CGL): Coverage for liability arising from RF’s use and occupancy of the Parking Lot, including, but not limited to, contractual liability, products and completed operations, and personal injury and property damage with limits no less than $1,000,000 each occurrence/$2,000,000 aggregate. Automobile Liability: Coverage for all of RF’s owned, non-owned and hired vehicles with limits not less than $1,000,000 per accident, combined single limits (CSL) or its equivalent. Workers Compensation: As required by the State of New Jersey and Employers’ Liability with limits not less than $1,000,000 each accident for bodily injury or disease. The Township of West Orange and its officers, employees, agents, successors and assigns and are included as Additional Insured under the commercial general liability policy. The Commercial General Liability insurance coverage is provided on a primary and non-contributory basis to the Township of West Orange. Where applicable, a waiver of subrogation in favor of the Township of West Orange and its officers, employees, agents, and servants is to be included in those policies of insurance where permitted by law. To the extent permitted by applicable law, the Township shall add a waiver of subrogation in favor of RF on any of its policies of insurance applicable to a liability claim in the Parking Lot to which RF is, or becomes, a party. Governing Law and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey. Any claims or disputes arising under this agreement will be adjudicated in the Superior Court of New Jersey and venued in Union County. Entire Agreement. This Agreement is the entire understanding and agreement between RF and the Township with respect to RF’s use of the Parking Lot and supersedes all prior verbal and written agreements. IN WITNESS WHEREOF, the parties hereto have, either individually or by their duly authorized representative, set their hands and seals the day and year first above written.
