1 Conference Meeting – December 11, 2018 The Township Council of the Township of West Orange met in the Council Chambers, Municipal Building, 66 Main Street, West Orange, New Jersey at 6:40 p.m., Karen Carnevale, Municipal Clerk read the following statement: This is to inform the general public that this meeting is being held in compliance with Section 5 of the Open Public Meetings Act, Chapter 231, Public Law 1975. The annual notice was emailed to the Star Ledger and filed in the Township Clerk’s office on October 25, 2017 and published in the West Orange Chronicle on November 2, 2017. Roll Call: Present: Councilwoman Casalino, Councilman Guarino, Councilman Krakoviak and Council President McCartney, Mayor Parisi, Councilwoman Elect Cindy Matute-Brown Absent: Councilman Cirilo Councilwoman Casalino, on behalf of the Township Council, presented a Citation to the West Orange PAL 10U Fall Travel Baseball Team. On motion made by Councilwoman Casalino and seconded by Councilman Guarino, the Council nominated Councilman Guarino to become the next Council President for 2019. The Council discussed their liaison appointments to various boards and commissions for 2019. There were two motions made on behalf of ERSCHA (Degnan House). A motion was made by Councilman Krakoviak on behalf of Councilwoman-Elect Matute-Brown to represent the Degnan House, there was no second and the motion failed. A motion was made by Councilwoman Casalino and seconded by Councilman Guarino for Councilwoman Casalino to represent the Degnan House. Motion was approved by a 3 – 1 vote. Councilwoman Casalino, Councilman Guarino and Council President McCartney voting “Aye.” Councilman Krakoviak voting “Nay.” There were two motions made on behalf of WOSCHA (John P. Renna House). A motion was made by Councilman Krakoviak on behalf of Councilwoman-Elect Matute-Brown to represent the Renna House, there was no second and the motion failed. A motion was made by Councilman Guarino and seconded by Councilwoman Casalino for Councilwoman McCartney to represent the Renna House. Motion was approved by a 3 – 1 vote. Councilwoman Casalino, Councilman Guarino and Council President McCartney voting “Aye.” Councilman Krakoviak voting “Nay.” There were two motions made on behalf of Insurance Fund Commission. A motion was made by Councilman Krakoviak on behalf of Councilwoman-Elect Matute-Brown to represent the Insurance Fund Commission, there was no second and the motion failed. A motion was made by Councilman Guarino and seconded by Councilwoman Casalino for Councilman Guarino and Councilwoman McCartney to represent the Insurance Fund Commission for a two-year term. Motion was approved by a 3 – 1 vote. Councilwoman Casalino, Councilman Guarino and Council President McCartney voting “Aye.” Councilman Krakoviak voting “Nay.” Mr. Sayers gave a brief update on the redevelopment area. Councilman Cirilo arrived at the meeting at 7:15 p.m. Council President on behalf of the Township Council presented a plaque to Councilman Cirilo for his 8 plus years of service on the Council and to the community. The Council responded at this time. *Review of Consent Agenda *Approval of Minutes of Previous Meeting- Public Meeting November 27, 2018 *Report of Township Officers – None *Reading of Petitions and Communications and Bids – None *Bills *Resolution(s) adopted on Consent Agenda: a. 268-18 Resolution Approving Change Order No. 1 for the Contract Improvement of Curtis Avenue and Garfield Avenue with A & J Contractors Group, Inc., 105 Federal Road, Monroe Township, New Jersey 08831 in the amount of $61,452.00 which Represents a 9.29 Percent Increase in the Original Contract (Lepore) b. 269-18 Resolution Authorizing the Collector of Taxes to Refund Payment to the Listed Taxpayer Due to an Overpayment of Taxes Due to a Duplicate Payment (Gagliardo)

3 c. 270-18 A Resolution Authorizing the Execution of a Second Amendment to an Interim Redeveloper’s Agreement with the Alpert Group Related to the Redevelopment of the Central Avenue Redevelopment. Specifically, this Second Amendment Provides that the Alpert Group will fund the Remaining 25% of the Remedial Costs Related to the Removal of Underground Storage Tanks on the Property at 18 Central Avenue after the Potential 75% Funding from the Department of Environment Protection through the HDSRF Grant Program (Legal-Moon) d. 271-18 Resolution Authorizing an Agreement with the Essex County Division of Senior Services in Connection with the Partial Funding of a Senior Citizen Public Health Nurse (DeNova) The Essex County Division of Senior Services has agreed to provide partial funding for a Senior Citizen Public Health Nurse for the contract period of January 1, 2019 through December 31, 2019, in the amount of $16,127. e. 272-18 Resolution Authorizing a Discharge of Mortgage for Property at 37 Thorn Terrace, West Orange, NJ, Block 153.11, Lot 49 (Planning) f. 273-18 Resolution Authorizing a Discharge of Mortgage for Property at 55 Forest Hill Road, West Orange, NJ, Block 37, Lot 58 (Planning) g. 274-18 Resolution Authorizing Execution of License Agreement and Access Easement for 662 Eagle Rock Avenue (Legal-Maier) This resolution authorizes the Township to execute the License Agreement and Access Easement with 2017 Eagle Rock West Orange, LLC, contract purchaser of the property located at 662 Eagle Rock Avenue. h. 275-18 Community Development Block Grant (CDBG) Program Year 2019 (Planning-Miller) Councilman Guarino recused himself form voting on resolution 275-18. i. 276-18 Resolution Authorizing the Issuance of Raffle Licenses (Clerk) j. 280-18 Resolution Authorizing the Township to Enter into a Grant Agreement with the Leary Firefighters Foundation to Accept the Award of a Free-Standing Roof Prop and Materials (Legal- Moon) k. 281-18 Resolution Authorizing the Execution of an Amended Subordination Agreement for the Property at 4 Pillot Place (Legal-Moon) A resolution was previously adopted authorizing the subordination of this mortgage, but the mortgage company requires an edit to the Subordination Agreement per request from its Title Company. l. 282-18 Resolution Authorizing the Township to Award a Contract for Janitorial Services at Seven Municipal

4 All members present voting “Aye.” *Resolution(s) removed from the Consent Agenda: Resolution 277-18 277-18 Resolution Authorizing the Renewal of the Township’s Contract with Benecard for Prescription Drugs Benefit for a One Year Term Beginning January 1, 2019 through December 31, 2019 (Gross) On motion made by Councilwoman Casalino and seconded by Council President McCartney, the above reference resolution was approved. Councilwoman Casalino, Councilman Cirilo, Councilman Guarino and Council President McCartney voting “Aye.” Councilman Krakoviak abstained from voting. Resolution 278-18 278-18 Resolution Authorizing the Renewal of an Agreement with Delta Dental for a One Year Term from January 1, 2019 through December 31, 2019 (Gross) On motion made by Councilman Guarino and seconded by Council President McCartney, the above reference resolution was approved. Councilwoman Casalino, Councilman Cirilo, Councilman Guarino and Council President McCartney voting “Aye.” Councilman Krakoviak abstained from voting. Resolution 279-18 279-18 Resolution Awarding the Contract to Sun Life for Stop Loss Coverage for the Township’s 2019 Health Insurance Coverage Effective January 1, 2019 (Gross) On motion made by Council President McCartney and seconded by Councilwoman Casalino, the above reference resolution was approved. Councilwoman Casalino, Councilman Cirilo, Councilman Guarino and Council President McCartney voting “Aye.” Councilman Krakoviak voting “Nay.” Ordinances on Second and Final Reading Ordinance 2557-18 On motion made by Councilman Guarino and seconded by Councilman Cirilo, An Ordinance to Vacate, Release and Extinguish the Public Right to a Portion of Elmwood Avenue in the Township of West Orange from Roosevelt Avenue to Garfield Avenue, was taken up on second and final reading. All members present voting “Aye”. The Council President stated that this is the scheduled time for the public hearing and asked the Clerk to read the ordinance by title only. The Council President asked if there was anyone who wished to be heard. There was no one who wished to be heard and the public hearing was closed. On motion made by Councilwoman Casalino and seconded by Council President McCartney, the above- mentioned ordinance was approved on second and final reading.

5 All members present voting “Aye”. Pending Matters/New Matters/Council Discussion The Township Clerk asked the Council about the reappointment of two Zoning Board members, Bart Quentzel and Dr. Michael Straker as their terms will expire on December 31, 2018. The five Council members agreed that the two gentlemen should be reappointed. Councilman Krakoviak inquired about the leaf pickup schedule. ABC Hearing - None At 9:24 p.m., on motion made by Councilwoman Casalino and seconded by Councilman Cirilo, the meeting was adjourned.
