JJ (the “Owner”) is the owner of certain real property known as Essex Green Shopping Center, situated at 495 Prospect Avenue, West Orange; and WHEREAS, the Township of West Orange (the “Township”) desires to license an area of the Essex Green Shopping Center for the purpose of painting a mural on the south side of the building current occupied by AMC Entertainment International, Inc.; and WHEREAS, the Owner agrees to grant the Township a non-exclusive license for the purpose of painting the mural on the property; and WHEREAS, annexed hereto is a copy of the License Agreement to be entered into between the Owner and the Township; and NOW THEREFORE BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE that the Mayor be and is hereby authorized to execute a copy of the enclosed Event License Agreement by and between RREEF America REIT III, Corp. JJ, the Owner and the Township of West Orange and the Municipal Clerk is hereby authorized to attest to same. ________________________________ Karen J.
