135-10 May 25, 2010 RESOLUTION WHEREAS, Daughters of Israel Geriatric Services, Inc. is a non-profit corporation of the State of New Jersey organized pursuant to Title 14A of the Revised Statutes of the State of New Jersey with its principal offices at 750 Northfield Avenue, West Orange, New Jersey (hereinafter, "Sponsor"); and WHEREAS, on September 26, 1978, the Sponsor and Township entered into a Tax Abatement Agreement (“Agreement) and First Amendment to Tax Abatement Agreement dated January 1, 2009 (“First Amendment”), both of which were duly authorized and agreed to; and WHEREAS, it is the intention of the Township to extend the Agreement through the latter of 2045 or such longer term as may be required by USA HUD or such other federal agency subsidizing the project in accordance with N.J.S.A. 40A:20-5.1 and N.J.S.A. 40A:20-13.1; and WHEREAS, in all other respects, all of the terms and conditions of the Agreement and First Amendment remain in effect; and WHEREAS, annexed hereto is a Tax Abatement Extension Agreement that extends the term of the Agreement until 2045 or such time as the federal agency subsidizing the project may require as a condition of their subsidy; NOW, BE IT HEREBY RESOLVED by Township Council of the Township of West Orange that the Mayor be and is hereby authorized to execute and the Municipal Clerk be and is hereby authorized to attest to the Mayor's signature on the annexed Tax Abatement Extension Agreement by and between the Daughters of Israel Geriatric Services, Inc., as Sponsor and the Township of West Orange; and it is further RESOLVED, that the Tax Abatement Extension Agreement shall be published and available in the Clerk's office in accordance with applicable law.
