168-10 June 29, 2010 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) advertised for proposals for design and construction of a communication site for telecommunications hardware and equipment to be utilized by the Township’s police and emergency services; and WHEREAS, the Township also advertised for proposals for the relocation of the telecommunications hardware and equipment to the new communication site; and WHEREAS, ProComm Systems Inc. (“ProComm”) submitted a proposal in response to both of the Township’s advertisement which set forth a price of $138,575 for the design and construction of the communication site and $48,500 for the relocation the Township’s telecommunication center; and WHEREAS, the terms of the design and construction contract are set forth in the Contract, annexed hereto as Exhibit “ A;” and WHEREAS, the terms of the relocation contract are set forth in the Contract, annexed hereto as Exhibit “B.” NOW, BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE that the Mayor be and is hereby authorized to execute all documents necessary to effectuate the Contract on the terms set forth herein and the Municipal Clerk be and is hereby authorized to attest to the Mayor’s signature ; and it is further RESOLVED, that the original of the contract between Township of West Orange and ProComm Systems Inc. shall be maintained in the Municipal Clerk’s office. ________________________________ Karen J.
