327-10 Agreement

327-10 December 14, 2010 AMENDMENT TO OPTION AGREEMENT WHEREAS, on January 9, 2006, KYYS Holdings LLC owner of 549-551 Valley Road in the Township of West Orange ("Property") property owner and the Township of West Orange ("Township") executed a certain agreement entitled Option Agreement ("Option Agreement"); and WHEREAS, the parties have cooperated and extended the term from time to time; and WHEREAS, pursuant to paragraph 2 of the Option Agreement, the term of the Option was extended to December 31, 2010; and WHEREAS, the Township desires to continue to investigate the viability of purchasing the Property and requires further investigation regarding the Property; WHEREAS, the parties are willing to extend the term of the Option on the following terms and conditions: 1. The term of the Option be and is hereby extended until March 31, 2011 (the "Extended Expiration Date") as contained in paragraph 2 of the Option Agreement; 2. The Township agrees to satisfy all real estate taxes during the within extension. 3. During the extension period, the Township and its licensees, employees, invitees and agents may use the Property for parking and related purposes. 4. All other terms and conditions of the Option Agreement continue in full force and effect.

The parties hereto have executed and entered into this Agreement on the day and year set forth at the beginning of this agreement.
