11-15 January 6, 2015 RESOLUTION WHEREAS, the Township of West Orange (“Township”) and the West Orange Police Department (the “WOPD”) maintains and operates a 911 telephone and communication system (the “System”) necessary for emergency services; and WHEREAS, the Township and the WOPD needs to insure that the System is operational and operates in a proper manner to allow for emergency communications and service; and WHEREAS, Johnston Communications (“Johnston”) is a company with an office in North Arlington, New Jersey with the ability to provide such maintenance, service, and repair on a needed basis and has agreed to provide the necessary maintenance, service, and repair services on a needed basis pursuant to the terms of an agreement, annexed hereto as Exhibit “A”(the “Agreement”); WHEREAS, Johnston is a state contractor and thereby exempt from the requirements of the Local Public Contracts Law; and WHEREAS, the Agreement provides for a two (2) year term at a monthly rate of $1,725.30; and WHEREAS, the Township will also purchase from Johnston a software support crash kit for $2,700 as part of the implementation of the Agreement with Johnston; and WHEREAS, a copy of the invoice for the purchase of the software support crash kit is annexed hereto as Exhibit “B;” and WHEREAS, a copy the proposed Agreement for maintenance and service with Johnston has been executed by Johnstone and is annexed hereto as Exhibit “A;” and NOW, BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township Council shall and hereby does authorize the Mayor to execute the Agreement in the form annexed hereto, and the Township Clerk shall

be and hereby is authorized to attest to the Mayor’s signature; and be it further RESOLVED that the Township Council shall and hereby does authorize the Mayor to purchase from Johnston the software support crash kit; and be it further RESOLVED that this Resolution shall be published and available in the Clerk’s Office for reasonable inspection in accordance with applicable law.
