221-18 September 25, 2018 RESOLUTION WHEREAS, the Township of West Orange Open Space and Recreation Committee (the “Open Space Committee”) was established by ordinance to perform functions, including: (1) studying the costs, benefits and manner of acquiring, maintaining and protecting open space within the Township's borders, report to and make recommendations to the Mayor and Council regarding its findings on at least an annual basis; and (2) prepare, maintain and periodically update an inventory of undeveloped land within the Township, whether publicly or privately owned, and shall make such inventory available to the Township's Mayor and Council; and WHEREAS, in order to perform these function, the Open Space Committee seeks to prepare an update to the Open Space and Recreation Plan (the “Plan”) for submission to the Mayor and Township Council; and WHEREAS, the Open Space Committee seeks to retain the Land Conservancy of New Jersey, located at 19 Boonton Avenue in Boonton, New Jersey 07005 (the “Land Conservancy”); and WHEREAS, the Land Conservancy’s qualifications and experience is set forth in the Qualification page of its proposal, annexed hereto as Exhibit “A;” and WHEREAS, the Land Conservancy has agreed to assist the Open Space Committee for a fee of $10,000 pursuant to the terms and provisions of the proposed agreement, annexed hereto as Exhibit “B” (the “Agreement”); and WHEREAS, the price set forth in the Agreement falls below the statutory bid threshold, exempting the Contract for public bidding. NOW, BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township is authorized to retain the Land Conservancy to assist the Open Space Commission with the preparation of the Plan; and it is further; RESOLVED, that the Mayor is hereby authorized to execute the Agreement, annexed hereto as Exhibit “B” and that the Township Clerk is authorized to attest to the Mayor’s signature; and be it further

RESOLVED, that a copy of this Resolution shall be made available in the Clerk’s office to the extent required with applicable law. Karen J.
