63-19 February 5, 2019 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) is considering the possible acquisition of the Rock Spring Golf Course, an approximately 137.92 acre golf course located at 90 Rock Spring Road, also known as: Block 46.01, Lot 22; Block 160, Lot 2; Block 160, Lot 10; Block 160.01, Lot 30; Block 160.01, Lot 34 on the Township Tax Map (collectively the “Property”); and WHEREAS, the Township requires, as part of its due diligence, the preparation of a Preliminary Assessment Report as to the environmental condition of the Property; and WHEREAS, Matrix New World with offices at 26 Columbia Turnpike in Florham Park, New Jersey 07932 (“Matrix”) has provided the Township with a proposal for the preparation of a Preliminary Assessment Report for the Property, annexed hereto as Exhibit “A” (the “Proposal”); and WHEREAS, Matrix has agreed to prepare the Preliminary Assessment Report at a cost not to exceed $5,000. NOW THEREFORE, BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township be and hereby is authorized to retain Matrix to prepare a Preliminary Assessment Report for the Property pursuant to the Proposal, annexed hereto as Exhibit “A;” and be it further RESOLVED, that the Mayor be and hereby is authorized to execute any agreement, if any, with Matrix consistent with the Proposal annexed hereto as Exhibit “A;” and be it further RESOLVED, that the Township Clerk be and hereby is authorized to attest to the Mayor’s signature; and be it further
