64-19 February 5, 2019 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) has approved execution of a contract for acquisition of the Rock Spring Golf Course (the “Golf Course”) which consists of approximately 137.92 acres located at 90 Rock Spring Road, also known as: Block 46.01, Lot 22; Block 160, Lot 2; Block 160, Lot 10; Block 160.01, Lot 30; Block 160.01, Lot 34 on the Township tax map (collectively the “Property”); and WHEREAS, the Township will require the issuance of bonds to fund the acquisition of the Property; and WHEREAS, the lawfirm of Wilentz, Goldman & Spitezer, P.A. (“Wilentz”) has provided a proposed retainer agreement for retention as Special Bond Counsel, annexed hereto as Exhibit “A” (the “Retainer”), including a proposed fee structure set forth in paragraph 3 of the Retainer. NOW THEREFORE, BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township be and hereby is authorized to retain Wilentz to serve as Special Bond Counsel regarding the issuance of any bond(s) for funding to acquisition of the Property; and be it further RESOLVED, that the Mayor is authorized to execute the Retainer, annexed hereto as Exhibit “A;” and be if further RESOLVED, that the Township Clerk is authorized to attest to the Mayor’s signature on the Retainer to retain Wilentz.
