65-19 February 5, 2019 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) is considering the possible acquisition of the Rock Spring Golf Course, an approximately 137.92 acre golf course located at 90 Rock Spring Road, also known as: Block 46.01, Lot 22; Block 160, Lot 2; Block 160, Lot 10; Block 160.01, Lot 30; Block 160.01, Lot 34 on the Township tax map (collectively the “Property”); and WHEREAS, the Township requires Special Real Estate Counsel to assist the Township with the possible acquisition of the Property; and WHEREAS, if the Township determines to proceed with the acquisition of the Property, the Township would also require Special Real Estate Counsel to represent the Township in finalizing the acquisition of the Property; and WHEREAS, the Law Department recommends retention of Special Real Estate Counsel regarding the potential acquisition of the Property at a rate of $175 per hour which shall not exceed a total of $10,000 total for total services as Special Real Estate Counsel; and WHEREAS, the Law Department seeks authorization to retain Special Real Estate Counsel regarding the potential acquisition of the Property. NOW THEREFORE, BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township Legal Department be and hereby is authorized to retain Special Real Estate Counsel regarding the potential acquisition of the Property; and be it further RESOLVED, that the Mayor is authorized to execute any retainer agreement consistent with the terms set forth in this resolution to retain Special Real Estate Counsel; and be if further

2 RESOLVED, that the Township Clerk is authorized to attest to the Mayor’s signature on any retainer agreement to be executed consistent with the terms set forth in this resolution to retain Special Real Estate Counsel.
