83-19 March 5, 2019 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) is in the process of acquiring property known as the Rock Spring Golf Course including the various facilities and operations (“Rock Spring”) and the procurement to award a Contract for the Operation, Management and Maintenance of Rock Spring Golf Course (the “Contract”); and WHEREAS, the Township seeks to retain a consultant with knowledge regarding golf course operations to assist the Township with both the acquisition of Rock Spring and the procurement process to evaluate and recommend a vendor to operate Rock Spring; and WHEREAS, David B. Cronheim, Esq. (“Cronheim”) is the Chief Executive Officer and General Counsel for Watchung Valley Golf Club and has served in that capacity since 2014; and WHEREAS, Cronheim also has extensive experience in advising and counseling golf course operations as indicated on his resume, annexed hereto as Exhibit “A,” including serving as a trustee on the New Jersey State Golf Association; and WHEREAS, Cronheim has submitted a proposal to the Township, annexed hereto as Exhibit “B,” for a flat rate of $10,000; and WHEREAS, no potential conflicts of interest exist which would compromise Cronheim ability to providing consulting services to the Township; and WHEREAS, the amount of the proposal falls below the bid threshold allowing Cronheim’s retention without public bidding. NOW THEREFORE, BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township be and hereby is authorized to retain David B. Cronheim, Esq. to provide consulting services related to the acquisition of Rock Spring and the selection of a vendor to operate Rock Spring on behalf of the Township pursuant to the Proposal annexed hereto as Exhibit “B;” and be it further

2 RESOLVED, that the Mayor be and hereby is authorized to execute any agreement, if any, with Cronheim consistent with the Proposal annexed hereto as Exhibit “B;” and be it further RESOLVED, that the Township Clerk be and hereby is authorized to attest to the Mayor’s signature; and be it further RESOLVED, that a copy of this Resolution shall be made available in the Clerk’s office in accordance with applicable law. ________________________________ Karen Carnevale, R.M.C.
