164-22 June 28, 2022 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) requires the services of a Third-Party Administration (“TPA Services”) to assist in the processing of the Township’s various self-insured claims for workers compensation; and WHEREAS, on November 9, 2021, the Township Council adopted Resolution 284-21 which authorized the Township to utilize Competitive Contracting in lieu of public bidding to award a contract for the retention of a Third-Party Administrator to provide TPA Services to the Township; and WHEREAS, on December 14, 2021, the Township advertised and release a Request for Proposal (the “RFP”) for a Contract for Workers Compensation Third Party Administration Services (the “Contract”) in accordance with the Local Public Contracts Law (the “LPCL”); and WHEREAS, on January 27, 2022, a prospective respondent to the RFP filed a lawsuit challenging the Township’s RFP seeking the issuance of revised set of RFPS with additional data and information provided therein; and WHEREAS, on March 7, 2022, the Honorable Robert H. Gardner, Judge of the Superior Court entered a Consent Order memorializing the terms of a resolution of the lawsuit whereby the Township would readvertise the RFP providing additional information and data in the RFP; and WHEREAS, on March 15, 2022, the Township Council adopted resolution 59-22 consistent with the terms of the Consent Order authorizing: (i) rejection of the proposal received by the Township; and (ii) advertisement of a revised RFP; and WHEREAS, on March 28, 2022, the Township advertised and released a revised RFP consistent with the terms of the Consent Order entered by Judge Gardner; and WHEREAS, on May 17, 2022, the Township received four (4) proposals in response to the RFP, including proposals from: (i) Claims Resolution Corporation, Inc. (“CRC”); (ii)
Inservco Insurance Services, Inc. (“Inservco”); (iii) PMA Management Corp. (“PMA”); and (iv) Qual-Lynx (“Qual-Lynx”); and WHEREAS, the Township’s Qualified Purchasing Agent evaluated the proposals and issued a Competitive Contract Report recommending the award of the Contract to CRC, annexed hereto as Exhibit “A.” WHEREAS, consistent with the recommendation in the Competitive Contract Report, the Township seeks to award the Contract to CRC. NOW, BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE that the Township hereby award the Contracts to the CRC; and it is further RESOLVED, that the Contract between the Township and CRC for TPA Services shall be governed by the Agreement, annexed hereto as Exhibit “B” which incorporated the terms and conditions as set forth in the RFP and CRC’s Proposal for a term of one year with a fee of $22,000 ($15,800 plus a one-time fee of $6,200); and it is further RESOLVED, that the Mayor be and is hereby authorized to execute the Agreement, annexed hereto as Exhibit “B” and the Municipal Clerk be and is hereby authorized to attest to the Mayor’s signature; and it is further Karen J.
