290-22 November 22, 2022 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) seeks to provide funding for recreational services, social services, and activities, including cultural and artistic programing and entertainment to the residents of the Township of West Orange, and for the period commencing January 1, 2022 and ending December 31, 2022; and WHEREAS, the Township has entered into a License Agreement with Pleasant Valley Productions, Inc., a nonprofit corporation of the State of New Jersey having its principal offices at 95 Warren Road, West Orange, New Jersey (“PVP”) to operate the Oskar Schindler Performing Arts Center (the “OSPAC”) and arrange for performances and shows at the OSPAC; and WHEREAS, in addition to the License Agreement, the Township also seeks to provide additional financial support and contribution in the amount of Twenty Thousand Dollars ($20,000.00) for the PVP to use towards its fulfillment of the programming at the OSPAC consistent with the requirements as set forth in the License Agreement; WHEREAS, this additional financial support is subject to the terms and condition of a proposed Agreement, annexed hereto as Exhibit “A.” NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of West Orange that the Township is hereby authorized to enter into the Agreement, annexed hereto as Exhibit “A” with PVP for the contribution of funds in the amount of Twenty Thousand Dollars ($20,000.00) to be utilized for the programing and shows at the OSPAC; and be if further RESOLVED, that the Mayor be and is hereby authorized to execute the Agreement annexed hereto as Exhibit “A” and the Township Clerk be and is hereby authorized to attest to the Mayor’s signature; and be it further
