312-22 December 6, 2022 RESOLUTION WHEREAS, the Downtown West Orange Alliance is a nonprofit 501(c)3 organization of the State of New Jersey formed for the purpose of managing the town's Special Improvement District (the “SID”) to assist in the economic revitalization of the neighborhoods known as Tory Corner, Eagle Rock, St. Mark's and the Valley WHEREAS, the Township of West Orange (the “Township”) seeks to contribute funding to the DWOA to further the DWOA’s management of the SID and efforts to promote the economic revitalization of the economic revitalization of the neighborhoods within the Township, including Tory Corner, Eagle Rock, St. Mark's and the Valley for the period commencing January 1, 2022 and ending December 31, 2022; and WHEREAS, in addition to the License Agreement, the Township also seeks to provide additional financial support and contribution in the amount of Twenty Thousand Dollars ($20,000.00) for the DWOA to use towards the furtherance of its goals in management of the SID and the promotion of the economic revitalization of the enumerated neighborhoods within the Township; WHEREAS, this additional financial support is subject to the terms and condition of a proposed Agreement, annexed hereto as Exhibit “A.” NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of West Orange that the Township is hereby authorized to enter into the Agreement, annexed hereto as Exhibit “A” with DWOA for the contribution of funds in the amount of Twenty Thousand Dollars ($20,000.00); and be if further
2 RESOLVED, that the Mayor be and is hereby authorized to execute the Agreement annexed hereto as Exhibit “A” and the Township Clerk be and is hereby authorized to attest to the Mayor’s signature; and be it further RESOLVED, that a copy of this Resolution shall be made available in the Clerk’s office in accordance with applicable law.
