81-24 February 27, 2024 RESOLUTION WHEREAS, N.J.S.A. 52:34-6.2(b)(3) authorizes a municipality to utilize a national cooperative for the purchase of goods and services in lieu of a formal procurement process pursuant to the Local Public Contract law; and WHEREAS, Sourcewell is a service cooperative created under the laws of the state of Minnesota authorized to act as a nationally recognized cooperative through which government entities purchase goods and services from vendors contracting with Sourcewell; and WHEREAS, the Township of West Orange (the “Township”) desires to enter into a Master Lease Agreement with Enterprise FM Trust (“Enterprise”) for the lease of vehicles for use within the municipal fleet; and WHEREAS, the Township also desires to retain Enterprise for the management for use within the municipal fleet, including the maintenance, sale and auctioning for use within the municipal fleet vehicles as needed and when appropriate; and WHEREAS, Enterprise is a vendor who holds a contract with Sourcewell through April 18, 2026 for Fleet Management Services under Contract #030122-EFM; and WHEREAS, the Township has previously acted in accordance with New Jersey public procurement statutes and regulations to formally join Sourcewell as a nationally recognized cooperative for the purchase of goods and services and has maintained an active membership with Sourcewell since 2015 under membership #2819; and WHEREAS, the Township’s Chief Financial Officer has determined that the cost for entering into an agreement(s) for Fleet Management Services with Enterprise would provide the Township a cost savings compared to engaging in a procurement process to obtain the same services; and WHEREAS, Enterprise has prepared a Master Equity Lease Agreement for Fleet Management for use within the municipal fleet, annexed hereto as Exhibit “A” (the “Master Lease”) and WHEREAS, Enterprise has also prepared additional agreements as part of the fleet management for use within the municipal fleet, including: (i) the Maintenance Management Agreement, annexed hereto as Exhibit “B;” (ii) the Full Maintenance Agreement, annexed
2 hereto as Exhibit “C;” (iii) Agreement to Sell Customer Vehicles, annexed hereto as Exhibit “D;” and (iv) Consignment Auction Agreement for Sale of Customer Owned Vehicles, annexed hereto as Exhibit “E” (collectively the “Fleet Management Agreements”). NOW THEREFORE, BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township is authorized to utilize Enterprise through its contract with Sourcewell to provide fleet management services for the Township and be it further RESOLVED that the Mayor be and hereby is authorized to execute the Master Lease, the Fleet Management Agreements, and any other additional documents as needed to utilize Enterprise for the management for use within the municipal fleet; and RESOLVED, that the Municipal Clerk be and is hereby authorized to attest to the Mayor’s signature on the Master Lease, the Fleet Management Agreements, and any other additional documents as needed to utilize Enterprise for the management for use within the municipal fleet, and be it further RESOLVED, that a copy of this Resolution shall be made available in the Clerk’s office in accordance with applicable law.
