98-24 March 26, 2024 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) is the owner of real property known as Block 170, Lots 13, 15.03 and 17 on the Tax Map of the Township commonly known as 590 Mt. Pleasant Avenue (the “Property”); and WHEREAS, the Township of West Orange Recycling Center (the “Recycling Center”) is located and operates on the Property; and WHEREAS, Township utilizes the Recycling Center as an integral part of its Recycling Program; and WHEREAS, the operations conducted at the Recycling Center include the composting of leaves, the processing of vegetative wood waste and operating a recycling convenience center for West Orange residents for mixed paper, cardboard, consumer electronics, tires, clean wood, and commingled containers; and WHEREAS, on April 10, 2007, the Township Council adopted Resolution #84-07 authorizing the use of competitive contracting in lieu of public bidding pursuant to N.J.S.A. 40A:11-4.3 for the procurement of the Contract for Operation of the West Orange Recycling Center; and WHEREAS, on December 21, 2023, the Township issued a Request for Proposal for the services entitled “Request for Proposal for Operation of the Township of West Orange Recycling Center;” and WHEREAS, on January 11, 2024, the Township was advised that the Request for Proposal included a discrepancy as to the requirements for a performance bond for the operation of the recycling center that required revision and correction; and WHEREAS, on January 19, 2024, the Township issued a revised Request for Proposal (the “RFP”) with proposals due no later than February 7, 2024; and WHEREAS, on February 7, 2024, the Township received four (4) proposals including, proposals from: (i) The Firewood Farm; (ii) Yanuzzi Group; (iii) Natures Choice NJ, LLC the incumbent operator of the West Orange Recycling Center; and (iv) Mazza Mulch; and WHEREAS, pursuant to the Local Public Contracts Law and the New Jersey

Administrative Code, the Township created an Evaluation Committee (the “Committee”) to establish weighted criteria for the evaluation of proposals and evaluate and score the proposals submitted in response to the RFP; and WHEREAS, the Committee prepared an evaluation report (the “Evaluation Report”) regarding its evaluation and scoring of the proposals submitted in response to the RFP, annexed hereto as Exhibit “A;” and WHEREAS, the Committee recommends the award of a Management, Operation and Maintenance Service Agreement for the West Orange Recycling Center, annexed hereto as Exhibit “B” (the “Agreement”), to Natures Choice NJ, LLC, with offices at 1106 Millstone River Road, Hillsborough, New Jersey 08844. NOW, THEREFORE BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE that the Township is authorized to award the Agreement, annexed hereto as Exhibit “B,” consistent with the terms set forth therein to Natures Choice NJ, LLC; and be it further RESOLVED that the Mayor shall be authorized to execute the Agreement, annexed hereto as Exhibit “B,” on behalf of the Township; and be it further.
