1 99-24 TEMPORARY EXTENSION OF MANAGEMENT, OPERATION AND MAINTENANCE SERVICE AGREEMENT FOR THE WEST ORANGE RECYCLING CENTER AND COMPOSTING FACILITY This Temporary Extension Agreement for the Management, Operation and Maintenance Services for the West Orange Recycling Center and Compost Facility (the “Recycling Center”) is made by and between the Township of West Orange located at the Municipal Building, 66 Main Street, West Orange, New Jersey (herein “Township) and with Natures Choice NJ, LLC (“Natures Choice”) with offices at 1106 Millstone River Road, Hillsborough, New Jersey 08844 formerly operating as Reliable Wood Products, LLC. WITNESSETH WHEREAS, the Township is the owner of real property known as Block 170, Lots 13, 15.3 and 17 on the Tax Maps of the Township commonly known as 590 Mt. Pleasant Avenue, (the “Property”) upon which the Recycling Center is located; and WHEREAS, the Management, Operation and Maintenance Service Agreement for the Recycling Center between the Township and Natures Choice (the “Agreement”), annexed hereto as Exhibit “A,” expired on February 29, 2024; and WHEREAS, the award of a new Contract for Operation of the Recycling Center is pending before the Township Council and is scheduled to commence on May 1, 2024; and WHEREAS, pursuant to N.J.S.A. 40A:11-15 of the Local Public Contracts Law, the Township and Natures Choice have agreed to extend the Agreement until April 30, 2024 when the new Contract for Operation of the Recycling Center shall commence. NOW THEREFORE, for valuable consideration, including the promises, covenants, representations and warranties hereinafter set forth, the receipt and adequacy of which are hereby acknowledged, the parties, intending to be legally and equitably bound, agree that the terms and conditions of the Agreement, annexed hereto as Exhibit “A” shall be extended for an additional two (2) months until April 30, 2024.
