129-24 April 9, 2024 RESOLUTION WHEREAS, On March 5, 2024, RNC Developers, Inc. filed a Verified Complaint and Order to Show Cause against the Township of West Orange in the matter captioned RNC Developers Inc. v. Township of West Orange, ESX-L-1577-24 (the “Litigation”); and WHEREAS, Greenman-Pederson, Inc. (“GPI”) has agreed to provide expert professional engineering services related to the Litigation pursuant to the terms and conditions set forth in the agreement annexed hereto as Exhibit “A” (the “Agreement”); and WHEREAS, due to the emergent nature of the litigation and the professional services proposed herein, this contract need not be and has not been subject to a fair and open process under Local Public Contracts Law; and NOW, BE IT HEREBY RESOLVED, by the Township Council of the Township of West Orange that the Mayor be and is hereby authorized to execute the Agreement, in the form annexed hereto as Exhibit “A,” to retain GPI to provide expert consulting services to the Township related to the Litigation on the terms and conditions set forth therein.
