167-25 ADDENDUM TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN ESSEX REGIONAL HEALTH COMMISSION AND TOWNSHIP OF WEST ORANGE DEPARTMENT OF HEALTH This Addendum to the Professional Services Agreement (“Addendum”) is made and entered into as of this 22nd day of July, 2025 (the “Effective Date”), by and between Essex Regional Health Commission (hereinafter “ERHC”) and the Township of West Orange, Department of Health (hereinafter “WEST ORANGE”). WHEREAS, on or about July 1, 2024, the ERHC and WEST ORANGE entered into a Professional Services Agreement for the ERHC to provides support to WEST ORANGE in connection with certain inspection requirements of WEST ORANGE, including the work of Licensed, Registered Environmental Health Specialists (“REHS”), annexed hereto as Exhibit “A;” and WHEREAS, the Professional Services Agreement set forth a Scope of Services, including: Scope of Service. The ERHC agrees to provide the following services: a. Restaurant and Retail Food Establishment Inspections. b. Camp and Pool Inspections. c. Massage Parlors Inspections d. Complaints related to non-compliance of aforementioned entities or other entities licensed by the local health department. (collectively the “SERVICES”) e. Provide health education outreach for infectious diseases. WHEREAS, the Professional Services Agreement was to be funded utilizing the Local Health Grant (the “GRANT”) from the New Jersey Association of County and City Health Officials (the “NJACCHO”); and WHEREAS, the NJACCHO has extended the term of the GRANT through March 31, 2026. NOW, THEREFORE, in consideration of the terms and conditions hereinafter set forth, ERHC and WEST ORANGE agree to the following amendments to the Professional Services Agreement as follows:

2 1. The Term of the Professional Services Agreement set forth in Paragraph 2 shall be amended to read: Term. The term of this Agreement shall commence on the Effective Date and shall terminate on March 31, 2026, unless this Agreement is otherwise extended or terminated in accordance with the terms specified herein. The term of this Agreement shall be subject to WEST ORANGE’s continued award of the GRANT from the NJACCHO for the funding for the Scope of Service to be provided pursuant to this Agreement. 2. All other provisions of the Professional Services Agreement shall remain in full force and effect for the Term of the Professional Services Agreement.
