March 2022 New Jersey Department of Transportation Division of Local Aid and Economic Development Federal Aid Cost Reimbursement Agreement APPENDIX F AMERICANS WITH DISABILITIES ACT Equal Opportunity For Individuals With Disabilities. The SUBRECIPIENT and the STATE do hereby agree that the provisions of Title II of the Americans With Disabilities Act of 1990 (the “Act”) (42 U.S.C. Sec. 12101 et seq.), which prohibits discrimination on the basis of disability by public entities in all services, programs, and activities provided or made available by public entities, and the rules and regulations promulgated pursuant thereunto, are made a part of this contract. In providing any aid, benefit, or service on behalf of the STATE pursuant to this contract, the SUBRECIPIENT agrees that the performance shall be in strict compliance with the Act. In the event that the SUBRECIPIENT, its agents, servants, employees, or sub consultants violate or are alleged to have violated the Act during the performance of this contract, the SUBRECIPIENT shall defend the STATE in any action or administrative proceeding commenced pursuant to this Act. The SUBRECIPIENT shall indemnify, protect, and save harmless the STATE, its agents, servants, and employees from and against any and all suits, claims, losses, demands, or damages of whatever kind or nature arising out of or claimed to arise out of the alleged violation. The SUBRECIPIENT shall, at its own expense, appear, defend, and pay any and all charges for legal services and any and all costs and other expenses arising from such action or administrative proceeding or incurred in connection therewith. In any and all complaints brought pursuant to the STATE*S grievance procedure, the SUBRECIPIENT agrees to abide by any decision of the STATE which is rendered pursuant to said grievance procedure. If any action or administrative proceeding results in an award of damages nst the STATE or if the STATE incurs any expense to cure a violation of the ADA which has been brought pursuant to its grievance procedure, the SUBRECIPIENT shall satisfy and discharge the same at its own expense. The STATE shall, as soon as practicable after a claim has been made against it, give written notice thereof to the SUBRECIPIENT along with full and complete particulars of the claim. If any action or administrative proceeding is brought against the STATE or

If any action or administrative proceeding is brought against the STATE or any of its agents, servants, and employees, the STATE shall expeditiously forward or have forwarded to the SUBRECIPIENT every demand, complaint, notice, summons, pleading, or other process received by the STATE or its representatives. It is expressly agreed and understood that any approval by the STATE of the services provided by the SUBRECIPIENT pursuant to this contract will not relieve the SUBRECIPIENT of the obligation to comply with the Act and to defend, indemnify, protect, and save harmless the STATE pursuant to this paragraph. It is further agreed and understood that the STATE assumes no obligation to indemnify or save harmless the SUBRECIPIENT, its agents, servants, employees and sub consultants for any claim which may arise out of their performance of this Agreement. Furthermore, the SUBRECIPIENT expressly understands and agrees that the provisions of this indemnification clause shall in no way limit the SUBRECIPIENT’S obligations assumed in this Agreement, nor shall they be construed to relieve the SUBRECIPIENT from any liability, nor preclude the STATE from taking any other actions available to it under any other provisions of this Agreement or otherwise at law. 30
345-24 December 10, 2024 STATE OF NEW JERSEY DEPARTMENT OF ENVIRONMENTAL PROTECTION GREEN ACRES PROGRAM WHEREAS, the New Jersey Department of Environmental Protection, Green Acres Program (“State”), provides grants and/or loans to municipal and county governments and grants to nonprofit organizations for assistance in the acquisition, development, and stewardship of lands for outdoor recreation and conservation purposes; and WHEREAS, the Township of West Orange desires to further the public interest by obtaining total funding in the amount of $995,023.88, in the form of a $995,023.88_ matching grant and, if available, a $___0_____ loan, from the State to fund the following project(s): ______________________Vincent's Pond Walkway & Dredging Improvements______________ at a total cost of $1,990,047.75 WHEREAS, the State shall determine if the application is complete and in conformance with the scope and intent of the Green Acres Program, and notify the applicant of the amount of the funding award; and WHEREAS, the applicant is willing to use the State’s funds in accordance with such rules, regulations, and applicable statutes, and is willing to enter into an agreement with the State for the above-named project; NOW, THEREFORE, the governing body/board resolves that: 1. ____Susan McCartney___ or the successor to the office of __Mayor_____ is hereby authorized to: a. make application for such a loan and/or such a grant, b. provide additional application information and furnish such documents as may be required, and c. act as the authorized correspondent of the above-named applicant; 2. The applicant agrees to provide its matching share to the Green Acres funding request, if a match is required, in the amount of ____$995,023.88___; 3. In the event the State’s funds are less than the total project cost specified above, the applicant has the balance of funding necessary to complete the project; 4. The applicant agrees to comply with all applicable federal, state, and local laws, rules, and regulations in its performance of the project; and 5. This resolution shall take effect immediately.

347-24 December 10, 2024 RESOLUTION WHEREAS, the Township of West Orange requires Professional Land Surveying and Engineering Services for the 2024 Community Development Block Grants Road Rehabilitation of Franklin Avenue (from Main Street to Chestnut Street) and Oxford Place (from Cherry Street to Chestnut Street); and WHEREAS, to design and specify these improvements the Township requires the services of a professional land surveying and engineering firm; and WHEREAS, the Township Engineer prepared a Request for Proposals dated November 19, 2024 for these professional design services; and WHEREAS, the Township Engineer solicited proposals from five professional land surveying and engineering firms; and WHEREAS, Greenman-Pedersen, Inc. (GPI), responded to the Request for Proposal; and WHEREAS, GPI, have performed similar work for the Township on several projects and their work quality good; and WHEREAS, by letter dated December 4, 2024 the Township Engineer recommended a professional services contract be awarded to Greenman-Pedersen, Inc., 301 Gibraltar Drive, Suite 2A, Morris Plains, NJ 07950, for Professional Engineering Services associated with the 2024 Community Development Block Grants Road Rehabilitation of Franklin Avenue (from Main Street to Chestnut Street) and Oxford Place (from Cherry Street to Chestnut Street); and WHEREAS, sufficient funds exist for the services outlined in the proposal of GPI; and WHEREAS, the Township Council concurs in the foregoing. NOW THEREFORE BE IT RESOLVED by the Township Council of the Township of West Orange, New Jersey that a professional services contract be awarded to Greenman-Pedersen, Inc., to provide professional land surveying and engineering services for the 2024 Community Development Block Grants Road Rehabilitation of Franklin Avenue (from Main Street to Chestnut
Street) and Oxford Place (from Cherry Street to Chestnut Street) in the amount not to exceed $26,608.00. BE IT FURTHER RESOLVED that a copy of this Resolution be published in the West Orange Chronicle within ten (10) days of its approval as required by State Statute. Karen J. 1. Land Surveying Services: A. Topographic Survey and Base Mapping that will provide a topographic field survey and base mapping suitable for the proposed improvements, which will include, but will not be limited to, the following items: 1. Establishment of centerline of existing street. 2. Topographic survey of all trees, shrubs, walls, driveways, walks, steps, and other existing features within the ROW and farther where necessary to the proposed improvements. 3. Right of way will be shown from available Township Tax Map information. 4. Topographic Survey including additional topography behind the curb and sidewalk of the roadways and at road intersections; 5. Top and Bottom of curb elevations, storm inlets with inverts and pipe sizes, sanitary manholes with rim elevations, and any other utilities visible on the roadways will need to be located; B. Establish horizontal control based on North American Datum 1983 (New Jersey State Plane Coordinate System-NAD 83) and North American Vertical Datum 1988 (NAVD 88); C. Benchmark(s) to be set on site for future use; D. Existing conditions/Survey Control plan; E. Coordinate utility mark-outs; 2. Civil Engineering Services: A. Proposed roadway profiles matching existing grades; B. Roadway improvements include curb, sidewalk, aprons, pavement milling and resurfacing, pavement striping, new traffic signs, shade trees; C.
