113-25 SERVICES AGREEMENT BETWEEN NATIONAL DIAGNOSTIC SERVICES AND THE TOWNSHIP OF WEST ORANGE This service agreement is between the Township of West Orange (“Township”) and National Diagnostic Services (“NDS”) 28700 Cabot Drive, Suite 500, Novi, MI 48377, Attention: Michael Ketslakh, President. SECTION ONE: SCOPE OF SERVICES For the 2025 calendar year, NDS hereby agrees to serve as a consultant for cancer screening services to the West Orange Fire Department. The scope of services provided by NDS is as follows: 2 Phases a. Phase 1 - On site or in office visit Physical & Blood draw- Provider review of complete health history, Oral Cancer Screening & Full Skin Cancer Screening. Cancer Screening Ultrasound i. ii. Script provided for Low Dose Lung CT Screening & appt scheduled at an offsite location convenient to member Telehealth appt 1 week out from onsite or in office visit appt Testing should include, at a minimum, testing and screenings for the following types of cancer in accordance with N.J.S.A. 52:14-17.29ii(a)(1)-(11): 1. Colon 2. Lung 3. Bladder 4. Oral 5. Thyroid 6. Skin 7. Blood 8. Breast 9. Cervical 1 o. Testicular 11 . Prostate Phase 2 - 20-minute telehealth results review-Provider consults on patient results (Ultrasound & comprehensive Blood Work review). 11 member completed the CT screening and results are ready the consult will include those as well.
i. ii. All members have access to their complete medical record & results in a medical system provided by you. Vendor to provide login instructions for accessing those results to ease follow up. Provider follow up ensures all members understand their results and if any follow up is required they are directed appropriately to their primary care provider. Additional Services to be included: a. provides all marketing & scheduling materials. i. Registration information- Demographics of members (for lab requisitions), eligibility (active members only and have at least 3 years as an active-duty firefighter). SECTION TWO: COMPENSATION The Township agrees to pay NDS per its fee schedule attached hereto. Pursuant to N.J.S.A. 52:14-17.29ii(a) the Township shall be reimbursed for such costs from the State. SECTION THREE: BILLING PROCEDURES NDS shall submit the proper vouchers or invoices to the Township in accordance with applicable law and regulations. Failure to submit invoices within 30 days of the conclusion of a quarter shall void the payment to NDS for that quarter. SECTION FOUR: STATUS OF CONSULTANT It is hereby agreed that NDS is an independent contractor and is not considered an employee of the Township of West Orange during the performance of its duties as outlined in Section One. The Township of West Orange agree to defend the consultant in the event a claim or lawsuit is bought against the Township for any actions alleging negligence with respect to the administration of the insurance programs. It is also understood that the Township of West Orange will cooperate fully with the consultant in the performance of his duties as outlined in Section One. SECTION FIVE: NON ASSIGNMENT Consultant is prohibited from assigning this agreement to any other parties without the written authorization from the Township. SECTION SIX: TERM, TERMINATION and JURISTICTION The term of this agreement is for the 2025 calendar year. It is understood that the continuation of this contract is pending the availability of funds in subsequent fiscal years and if the funds are not available in subsequent fiscal years then this agreement shall be canceled. The 2
terms of this agreement are subject to the laws of the State of New Jersey and any disputes between the parties shall be heard in the applicable court of law. This agreement may be cancelled with thirty (30) days’ written notice by either party. *Township and NDS agree that West Orange Mayor Susan McCartney has not been involved in any aspect of this Agreement, including, but not limited to, solicitation, negotiation, consideration or award of this Agreement.* In witness whereof, the signatures below verify the acceptance of the terms of this agreement by the parties involved. 2904-25 LEGISLATIVE HISTORY This Ordinance eliminates the 8AM-10AM One Hour Parking Zones on Colony Drive East, Pitney Street, and Swayze Street and creates new 8AM-10AM No Parking Zones there and at Elliott Place to discourage all-day parking by Seton Hall Prep students, NYC commuters, and Parents/Teachers at Kelly Elementary School during school opening hours, and allow parking at other times for the residents. This change was recommended by the Traffic Division of WOPD, and in response to local residents’ requests.
2907-25 AN ORDINANCE AMENDING AND SUPPLEMENTING CHAPTER 2, SECTION ___ OF THE REVISED GENERAL ORDINANCES OF THE TOWNSHIP OF WEST ORANGE TO ESTABLISH A CITIZENS BUDGET ADVISORY BOARD BE IT ORDAINED BY THE MUNICIPAL COUNCIL OF THE TOWNSHIP OF WEST ORANGE, NEW JERSEY that Chapter 2 of the Revised General Ordinances of the Township of West Orange be and are hereby amended as follows: I. PURPOSE The purpose of this Ordinance is to establish a Citizens Budget Advisory Board via Ordinance. § 2-____: Definitions Citizens Budget Advisory Board: An advisory board made up of members of the public appointed by both the Township Council and the Mayor charged with reviewing the Township’s Budget, its services, programs and expenditures, compiling the Board’s collective analysis, input and suggestions and presenting them to the Township Council by regular reports and presentations, as appropriate. § 2-____: Establishment of a Citizens Advisory Board A. The Citizens Budget Advisory Board shall be comprised of: (i) one member appointed by the Mayor; (ii) one member appointed by each of the five members of the Township Council; and (iii) one consensus candidate chosen by the majority of the Council. B. Candidates for the board shall be Township residents, work in the Township, employed by a company based in the Township, or own or lease property in the Township. The chair shall be selected by a majority vote of the members, as promptly as practicable once appointments are made. The term of each Board member will be one calendar year, starting on January 1 of the year that the members serve, and members may be reappointed in subsequent years. Appointments shall be made before January 1 of the year that members serve. In the case of any newly elected Councilmember, his/her appointment, as well as the appointment of the Council consensus, should be made as soon as practicable once he/she takes the oath of office. C. A Board member can resign by sending a letter or email to the Municipal Clerk which shall take effect immediately. Any Board member may be removed with or without cause, at any time, by the person appointing the Board member. D. Board members are required to attend all scheduled Board meetings and strongly encouraged to attend all Council meetings that focus on the budget, including review of any video or audio recordings of such meetings. meetings may be grounds for removal from the Board by a written motion to dismiss that can be offered by any Board member. The Board member at issue may request a public hearing of the cause(s) and present a defense. That hearing shall be followed by deliberation in open session. A majority vote decides the issue, with a tie vote allowing the Board member to continue to serve. E. The Board shall: a. Make all requests for information or materials following a majority vote of the members present. b. Have access to all financial and budget documents that it believes are needed to advise the Council that are not otherwise subject to privacy or other nondisclosure limitations. The Board shall make its request in writing to the Council, which will review the request and forward it to the Business Administrator or his/her designee, and the Chief Financial Officer. c. Request in writing through the Council to the Business Administrator or his/her designee, and the Chief Financial Officer to meet with the Chief Financial Officer or others as appropriate for presentations and discussions on these financial issues outside of a regular or special Council meeting. d. Take minutes of meetings and submit approved Minutes to the Council, Business Administrator and Chief Financial Officer. The Board will also provide the minutes to the Municipal Clerk for public availability in the Clerk’s office and for posting to the Township website. e. Submit written reports to the Council, Business Administrator and Chief Financial Officer on a regular basis of the Board’s findings, questions and recommendations. f. Appear as requested by the Town Council at Council meetings to present and/or engage in discussions with Councilmembers and Administration personnel, as appropriate. g. Meet at least once a month in the year that members serve, because Budget issues are a year-round responsibility, including year-end account reconciliations and pre-planning for the following calendar year. Meetings may occur more frequently depending on the majority vote of members. 2
