136-25 May 6, 2025 RESOLUTION WHEREAS, N.J.S.A. 40A:5-4 requires the governing body of every local unit to have made an annual audit of its books, accounts and financial transactions; and WHEREAS, the Annual Report of Audit for the year 2023 has been filed by a registered municipal accountant with the Municipal Clerk as per the requirements of N.J.S. 40A; 5-5, and a copy has been received by each member of the governing body; and WHEREAS, the Local Finance Board of the State of New Jersey is authorized to prescribe reports pertaining to the local fiscal affairs, as per R.S. 52:27BB-34; and WHEREAS, the Local Finance Board has promulgated a regulation requiring that the governing body of each municipality shall by resolution certify to the Local Finance Board of the State of New Jersey that all members of the governing body have reviewed, as a minimum, the sections of the annual audit entitled: General Comments Recommendations And WHEREAS, the members of the governing body have personally reviewed as a minimum the Annual Report of Audit, and specifically the sections of the Annual Audit entitled: General Comments Recommendations as evidenced by the group affidavit form of the governing body; and WHEREAS, such resolutions of certification shall be adopted by the Governing Body no later than fortyfive days after the receipt of the annual audit, as per the regulations of the Local Finance Board; and WHEREAS, all members of the governing body have received and have familiarized themselves with, at least, the minimum requirements of the Local Finance Board of the State of New Jersey, as stated aforesaid and have subscribed to the affidavit, as provided by the Local Finance Board; and WHEREAS, failure to comply with the promulgations of the Local Finance Board of the State of New Jersey may subject the members of the local governing body to the penalty provisions of R.S. 52:27BB52 - to wit: R.S. 52:27BB-52 - "A local officer or member of the local governing body who, after a date fixed for compliance, fails or refuses to obey an order of the director (Director of Local Government Services), under the provisions of this Article, shall be guilty of a misdemeanor and, upon conviction, may be fined not more than one thousand dollars ($1,000.00) or imprisoned for not more than one year, or both, in addition shall forfeit his/her office.
NOW, THEREFORE BE IT RESOLVED, that the governing body of the Township of West Orange, hereby states that it has complied with the promulgations of Local Finance Board of the State of New Jersey dated July 30, 1968 and does hereby submit a certified copy of this resolution and the required affidavit to said Board to show evidence of said compliance. We are duly elected members of the Township Council of the Township of West Orange. 2. 137-25 May 6, 2025 RESOLUTION WHEREAS, the Township of West Orange (the “Township”) utilizes and information and technology systems (“IT Systems”) in its operations including a uniformed network system and a non-uniformed network system; and WHEREAS, the Township requires the services of an outside vendor to assist in the management of the Township’s IT Systems; and WHEREAS, on June 28, 2022, the Township Council adopted Resolution 168-22 authorizing the award of a contracts for IT Network Managed Services (the “Contract”) to Pascack Data Services, Inc. (“Pascack”) and MCG, Inc. (“MCG”) for a period of three (3) years with an option to renew the contract for an additional two (2) year period; and WHEREAS, the Township seeks to continue utilizing both Pascack and MCG for IT Network Managed Services for the Township’s Uniformed Network System, Non-Uniformed Network System and IT Management for Special Projects on an as needed basis; and WHEREAS, the Township seeks to exercise the option to renew the Contracts for Pascack and MCG pursuant to the terms of the Contracts, annexed hereto as Exhibits “A” and Exhibit “B;” and NOW, BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE that the Township hereby award the Contracts to the Respondents; and it is further RESOLVED, that the Township hereby exercises its option to extend the Contract for IT Network Systems Management for its Uniformed Network System with Pascack for an additional two (2) year term continuing to utilize the Alternate Option offered in Pascack’s
proposal at a monthly rate of $1,950 per month and a quarterly purchase of sixty (60) additional hours of services at a rate of $150 per hour pursuant to the terms and conditions set forth in the Contract annexed hereto as Exhibit “A;” and it is further RESOLVED, that the Mayor be and is hereby authorized to execute all documents necessary to effectuate the extension of the Contract for IT Network Systems Management for its Uniformed Network System and the Municipal Clerk be and is hereby authorized to attest to the Mayor’s signature; and it is further RESOLVED, that the Township hereby exercises its option to extend the Contract for IT Network Systems Management for its Non-Uniformed Network System to MCG for an additional two (2) year term at the following monthly rates a. b. c. d. e. For year 1 - $4,400 per month; For year 2 - $4,500 per month; For year 3 - $4,600 per month; For year 4 (option year) - $4,600 per month; For year 5 (option year) - $4,600 per month. pursuant to the terms and conditions set forth in the Contract annexed hereto as Exhibit “B;” and it is further RESOLVED, that the Mayor be and is hereby authorized to execute all documents necessary to effectuate the extension of the Contract for IT Network Systems Management for its Non-Uniformed Network System and the Municipal Clerk be and is hereby authorized to attest to the Mayor’s signature; and it is further RESOLVED, that the Township hereby extends the services for IT Network Systems Management for special projects on an as needed basis to Pascack and MCG, respectively at an hourly rate of $150 per hour for Pascack, and $160 per hour for MCG pursuant to the terms and
conditions set forth in the contract the contract with Pascack annexed hereto as Exhibit “A,” and the contract with MCG annexed hereto as Exhibit “B,” respectively and it is further RESOLVED, that the Mayor be and is hereby authorized to execute all documents necessary to effectuate the two (2) contracts for IT Network Systems Management for special projects on an as needed basis and the Municipal Clerk be and is hereby authorized to attest to the Mayor’s signature on each contract; and it is further RESOLVED, that the original of each contract for IT Network Systems Management for special projects on an as needed basis shall be maintained in the Municipal Clerk’s office. ________________________ Karen J. Exhibit “A”
AGREEMENT FOR IT NETWORK MANAGEMENT SERVICES THIS AGREEMENT, dated as of the 30 thday of JUNE, 2022 between the Township of West Orange, a Municipal Corporation, in the County of Essex, and the State of New Jersey (hereinafter referred to as the “Township”), having its principal offices at 66 Main Street, West Orange, New Jersey; and PASCACK DATA SERVICES, INC., (hereinafter referred to as the “Contractor”), having its principal offices at 200 Central Avenue, Suite 100, Hawthorne, New Jersey. WHEREAS, on or about May 9, 2022, the Township issued a Request for Proposal (the “RFP”) seeking proposals for IT Network Management Services (“IT Services”), annexed hereto as Exhibit “A;” and WHEREAS, on June 8, 2022, the Contractor submitted a proposal in response to the RFP, annexed hereto as Exhibit “B,” seeking award of the Contract for IT Services for the Uniformed Network Systems and for special projects on an as needed basis (the “Contract”) for a term of three (3) year with a possible renewal term of an additional two (2) years. WITNESSETH 1. The Contractor hereby covenants and agrees to furnish and deliver to the Township, IT Services consistent with the scope of services as set forth in the RFP and the Contractor’s Proposal (the “Proposal”). 2. In the event of any conflicts between the terms and conditions set forth in the RFP and the Proposal, the terms and conditions set forth in the RFP shall govern. 3. The Contractor acknowledges that it has read N.J.S.A. 10:2-1, et. seq. (Discrimination in Employment on Public Works; contract Provision), the terms of which are incorporated herein as if expressly set forth at length, and the contractor agrees to comply with and be bound by the terms thereof. 4. Neither this Agreement nor the monies to become due hereunder are assignable. 5. The acceptance of payment by the Contractor shall constitute a release of any claims or liabilities of any nature whatsoever, if any, owing to the Contractor from the Township, its agents, servants and employees. 6. Contractor agrees to indemnify and hold harmless the Township, its agents, servants and employees from and against any and all losses, damage, liabilities, and expenses which may arise or be claimed against the Township, its agents, servants and employees, consequent upon or arising out of or in connection with the within Agreement. 7. This Agreement shall be

This Agreement shall be governed and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. to the service of process of any of the aforementioned courts in any such action or proceeding by the mailing of copies thereof to it by regular mail. Each of the Parties hereby irrevocably waives any objection that it may now or hereafter have to the laying of venue of any such claim, suit, proceeding, or action in such respective jurisdictions 8. This agreement is effective as of July 1, 2022 and covers the period of July 1, 2022 through June 30, 2025 with a possible extension until June 30, 2027.
