All members present voting “Aye.” Resolution 398-23 Resolution Authorizing Execution of a Professional Services Agreement with Fairview Insurance Associates, Inc., 25 Fairview Avenue, Verona, NJ 07044, for Insurance Broker Services — (P. Reynolds) On motion made by Council President Williams and seconded by Councilwoman Ghebremicael, the above referenced resolution was approved. Councilwoman Casalino, Councilwoman Ghebremicael and Council President Williams voting “Aye.” Councilman Rutherford and Councilwoman Scarpa voting “Nay.” At this time, Everett Johnson, Wilentz Goldman & Spitzer responded to public comment. Bill Taylor, Matrix Development Group-West Orange Redevelopment, LLC. Resolution 405-23 Resolution Of The Township Of West Orange Designating MDGA-— West Orange Downtown, Redevelopment, LLC, As Redeveloper For The Downtown Redevelopment Area And Authorizing The Execution Of A Redevelopment Agreement (Legal-Trenk) On motion made by Councilwoman Ghebremicael and seconded by Councilwoman Scarpa, the “Terms of Agreement” was amended removing paragraph 2.6 “Right of Way Vacations” from the terms. Councilwoman Ghebremicael, Councilman Rutherford and Councilwoman Scarpa voting “Aye.” Councilwoman Casalino and Council President Williams voting “Nay.” On motion made by Council President Williams and seconded by Councilwoman Casalino, paragraph(s) 3.2 and 3.2(b) “Exclusive Due Diligence Period” was changed from 240 days to 210 days. All members present voting “Aye.” A motion was made by Councilwoman Ghebremicael and seconded by Councilwoman Scarpa, with regard to paragraph(s) 3.2(b) Second Due Diligence Period, to modify the automatic extension period. All members present voting “Nay.” A motion was made by Councilwoman Ghebremicael with regard to the Second Due Diligence Period stating that after the second due diligence period, if a studio partner has not been named, this contract will become void, the Township gets to keep the money that’s been deposited, and that the Township will commit to putting out an RFQ, a fair and open process, with a film studio overlay. Councilman Rutherford explained that everything, with the exception of the RFQ was already in the agreement and that at the end of the second due diligence period, this contract would be null and void, and would require a majority vote of the Council to do it again and whatever the

already in the agreement and that at the end of the second due diligence period, this contract would be null and void, and would require a majority vote of the Council to do it again and whatever the thought is of an RFQ would have to be separate, because it does not directly affect Matrix and it can’t be put in the agreement with Matrix as they are not a party to it. There was no second. The motion failed. In section 3.6 Environment Remediation, Councilman Rutherford asked that the line read, “Redeveloper shall be solely responsible to undertake and finance any and all required Environmental Remediation of the Township Properties.
