355-24 AGREEMENT THIS AGREEMENT, made this day of December 2024, by and between: the TOWNSHIP OF WEST ORANGE, a municipal corporation of the State of New Jersey, having its principal offices at 66 Main Street, West Orange, New Jersey, hereinafter referred to as the “Township;”; and Prime Timers, an organization providing social and educational services for older adults, hereinafter referred to as the “PRIME TIMERS.” W I T N E S S E T H: WHEREAS, the Township desires to provide certain recreational, social, informational, and education services to the older adults of the Township; and WHEREAS, it is the purpose of this agreement to recite the terms and conditions under which the foregoing shall be provided. NOW THEREFORE, in consideration of the foregoing and of the mutual covenants hereinafter stated, the parties do hereby agree as follows: 1. For the period of January 1, 2024 to December 31, 2024, the PRIME TIMERS hereby agrees to organize and make available to the Township, a minimum of six (6) gatherings designed to service the educational, recreational, informational and/or social needs of the older adults of the Township. 2. The referenced services shall be supervised and operated by personnel provided by PRIME TIMERS, whose personnel shall be solely the employees or volunteers of PRIME TIMERS who is responsible to pay them, where appropriate, at the sole discretion of the PRIME TIMERS. 3. The PRIME TIMERS agrees to indemnify the Township and hold it harmless, including Township's employees, agents and servants, from and against any and all losses, claims, liabilities and expenses which may arise or be claimed against the
