This Agreement shall be governed by the laws of the State of New Jersey. Venue for any action arising under this Agreement shall lie in the Superior Court of New Jersey, Essex Vicinage, unless otherwise required by law. 18. Entire Agreement. This Agreement, together with the Authorizing Resolution and any required certifications incorporated herein, constitute the entire agreement between the Parties and supersedes any prior agreements. Any amendment hereto must be in writing, signed by the Parties and where required, authorized by resolution of the Township Council and accompanied by a proper encumbrance. 19. Execution.
