338-24 December 10, 2024 RESOLUTION TO AUTHORIZE THE PURCHASE OF IT EQUIPMENT, AS PART OF THE CONTINUED UPGRADES TO THE COMMUNICATIONS CENTER THROUGH NJ STATE CONTRACT 24-TELE-71883 WHEREAS, the Township of West Orange (Township) employs a Nationally Accredited Police Force (Police Department); and WHEREAS, the Police Department recently renovated and upgraded the communications center furniture, and added additional IT infrastructure; and WHEREAS, part of the IT Upgrades requires additional Storage Area Networks (SAN) be purchased; and WHEREAS, pursuant to the provision made in the Local Public Contracts Law N.J.S.A. 40A:11- 5(2) the Township as a Local Government Unit, may without public advertising for goods or services, enter into contracts already secured by the United States of America, the State of New Jersey, County or Municipality thereof; and WHEREAS, the Township wishes to utilize State Contract Purchasing Methods to purchase 1 additional SAN; and WHEREAS, the vendor, Pascack Data located at 200 Central Ave, Suite 100, Hawthorne NJ, 07506 is a NJ State Contract authorized vendor utilizing NJ STATE CONTRACT 24-TELE-71883 contract (#23026 Dell NASPO Master Agreement), and has provided pricing for equipment to work on the Police Departments LAN (see Exhibit A). NOW, THEREFORE BE IT RESOLVED, by the Municipal Council of the Township of West Orange who hereby authorizes the Purchasing Agent, on behalf of the Township, to issue and execute a Purchase Order for $138,416.21 to Pascack Data with funds certified available by the Chief Financial Officer. 339-24 December 10, 2024 RESOLUTION OF THE TOWNSHIP OF WEST ORANGE, IN THE COUNTY OF ESSEX, STATE OF NEW JERSEY PROVIDING FOR THE ISSUANCE OF SPECIAL EMERGENCY NOTES IN AN AMOUNT NOT TO EXCEED $1,800,000 TO FUND CONTRACTUALLY REQUIRED SEVERANCE LIABILITIES RESULTING FROM THE RETIREMENT OF EMPLOYEES IN THE TOWNSHIP WHEREAS, pursuant to N.J.S.A. 40A:4-53h and an ordinance finally adopted on December 10, 2024 (the “Ordinance”), the Township Council of the Township of West Orange, in the County of Essex, State of New Jersey (the “Township”) authorized a special emergency appropriation in the amount of $1,800,000 to fund contractually required severance liabilities resulting from the retirement of employees in the Township; and WHEREAS, in accordance with N.J.S.A. 40A:4-55 and the Ordinance, the Township now seeks to issue special emergency notes, which may be renewed from time to time, to finance contractually required severance liabilities resulting from the retirement of employees in the Township and at least 1/5 of all such special emergency notes, including renewals thereof, shall mature and be paid in each year, so that all notes and renewals shall have matured and have been paid not later than the last day of the fifth year following the date of issuance of the special emergency notes. NOW, THEREFORE, BE IT RESOLVED, (not less than two-thirds of all the members of the governing body thereof affirmatively concurring) that in accordance with N.J.S.A. 40A:4-55: 0. A special emergency appropriation has previously been made in the amount of $1,800,000 to provide for the cost of funding contractually required severance liabilities resulting from the retirement of employees in the Township. 1. In accordance with N.J.S.A. 40A:4-55, special emergency notes are hereby authorized by the Township Council of the Township to be issued in an amount not to exceed $1,800,000. 2. At least 1/5 of all such special emergency notes, including renewals thereof, authorized hereunder shall mature and be paid in each year, so that all notes and renewals shall have matured and have been paid not later than the last day of the fifth year following the date of issuance of the special emergency notes. 3. Such special emergency notes shall be executed by the Mayor and the #14134969.1

Chief Financial Officer of the Township and the official seal shall be thereunto affixed, imprinted or reproduced and attested by the Clerk of the Township. All notes issued hereunder shall mature at such times as may be determined by the Chief Financial Officer of the Township. The notes shall bear interest at such rate or rates and be in such form as may be determined by the Chief Financial Officer of the Township. It is hereby delegated to the Chief Financial Officer of the Township the authority to determine all matters in connection with the notes issued, and the signature of the Chief Financial Officer upon the notes shall be conclusive evidence as to all such determinations. The Chief Financial Officer is also hereby authorized to sell part or all of the notes from time to time at a public or private sale and to deliver them to the purchaser thereof upon receipt of payment of the purchase price and accrued interest, if any, thereon from their dates to the date of delivery thereof. The Chief Financial Officer is directed to report in writing to the Township Council of the Township at the meeting next succeeding the date when any sale or delivery of the special emergency notes pursuant to this resolution is made. Such report must include the principal amount, the description, the interest rate, the maturity schedule of the special emergency notes so sold, the price obtained and the name of the purchaser. 4. A certified copy of this resolution shall be filed with the Director of the Division of Local Government Services, within the New Jersey Department of Community Affairs. 5. 340-24 December 10, 2024 RESOLUTION ESSEX COUNTY COMMUNITY DEVELOPMENT BLOCK GRANT PROGRAM YEAR 2025 WHEREAS, certain Federal funding will potentially be available for Essex County under Title 1 of the Housing and Community Development Act of 1974 as amended and supplemented, which Act is commonly known and referred to as the Community Development Block Grant; and WHEREAS, the Township of West Orange has a need and desire for assistance under the Act and Program as aforesaid in order to improve essential services to the residents of areas which qualify for assistance under the Act and Program as aforementioned. NOW, THREFORE, BE IT RESOLVED the Township Council of the Township of West Orange, authorizes, on behalf of the Township of West Orange, the submission of applications for funding of the attached list, known as the 2025 Community Development Block Grant Program list, in the priority order as shown In attached Exhibit “A”. BE IT FURTHER RESOLVED, that the Mayor of the Township of West Orange is authorized to sign all applications and execute any agreements with the County of Essex and the Municipal Clerk to attest his signature for projects to be funded under this program. 340-24 EXHIBIT A TOWNSHIP OF WEST ORANGE COMMUNITY DEVELOPMENT BLOCK GRANTS APPLICATIONS FOR 2025 PRIORITY LIST 12/02/2024 1 Bethany Center for Champions (BCC) - Academic Assistance Program to maintain sufficient staff to support our programs. Our academic assistance program began a few years ago. We aim to support academically at-risk middle and high school students through a small wholistic cohort of seventeen students. $75,000.00 2 Main Street Counseling Center -Comprehensive Mental Health Care for At-Risk Populationsto partially fund the salary of an additional full-time bilingual social worker. This therapist will enhance our ongoing efforts to expand quality and accessible outpatient mental health services. The project will prioritize vulnerable West Orange adolescents, in particular, but will also assist couples, families, and seniors who require support in multiple languages. Services will primarily be provided at Main St. Counseling's two locations in West Orange. As we strengthen our community collaborations, we will also offer additional mental health services at Valley Settlement House, Renna Senior Housing, and Degnan Senior Housing. There has been a significant increase in community demand for high-quality, affordable, and accessible mental health services, especially in light of the continued pandemic recovery. 341-24 December, 10, 2024 RESOLUTION WHEREAS, the Township of West Orange proposes professional architectural services for miscellaneous improvements for Fire Stations No. 3, 4 and 5, to supplement and complete the design and prepare bid documents; and WHEREAS, to design these renovations the Township requires the services of a professional architectural firm; and WHEREAS, the Township Engineer solicited a proposal from one professional architectural firm to supplement the work completed in 2022; and WHEREAS, Herbst-Musciano, LLC, responded to the Request for Proposal; and WHEREAS, by letter dated December 2, 2024, the Township Engineer recommended a professional services contract be awarded to, Herbst-Musciano, LLC, 611 Main Street, Second Floor, Boonton, NJ 07005 for professional architectural services associated with miscellaneous improvements for Fire Stations No. 3, 4 & 5; and WHEREAS, Herbst-Musciano, LLC, responded to the Township’s Request for Qualifications for Professional Services for 2024; and WHEREAS, sufficient funds exist for the services outlined in the proposal of HerbstMusciano, LLC; and WHEREAS, the Township Council concurs in the foregoing. NOW THEREFORE BE IT RESOLVED by the Township Council of the Township of West Orange, New Jersey that a professional services contract be awarded to Herbst-Musciano, LLC, to provide professional architecture services for miscellaneous improvements for Fire Stations No. 3, 4 and 5 in the amount not to exceed $84,900.00. BE IT FURTHER RESOLVED that a copy of this Resolution be published in the West Orange Chronicle within ten (10) days of its approval as required by State Statute.
