18-25 January 6, 2025 RESOLUTION WHEREAS, in October 2024, the Township of West Orange (the “Township”) issued a set of bid specifications (the “Specifications”) for a proposed contract for the purchase and planting of 248 trees and purchase and installation of 57 root barriers; and WHEREAS, the Specifications provided a list of tree species to be purchased and planted pursuant to the proposed contract, including twenty-three (23) species of trees from which the Township could select; and WHEREAS, the Specifications required bidders to submit bids based upon prices which reflected the size of the trees to be purchased by the Township and did not correspond to the specific tree species to be purchased; and WHEREAS, the Specifications reserved the right for the Township to determine the quantity from each category of tree size or tree species; and WHEREAS, on November 7, 2024 the Township received bids in response to the Specifications, including the lowest bid submitted in the amount of $142,130.00 from: Frank Galbraith & Son Excavation and Demolition, LLC 831 Raritan Rd Scotch Plains, NJ 07076 (“Galbraith”); and WHEREAS, the Township Council objected to the list of trees species set forth in the Specifications based on the inclusion of non-native trees and required only non-native trees be purchased and planted; and

WHEREAS, the Township has updated and revised the list of tree species to be purchased and planted including the addition of native tree species not previously included in the Specifications, annexed hereto as Exhibit “A;” and WHEREAS, according to the Township’s tree consultant, the additional tree species are equivalent to the previous tree species listed in the Specification and are comparable in cost; and WHEREAS, the revised list of tree species does not therefore constitute a material change from the Specification. NOW, BE IT HEREBY RESOLVED, by the Township Council of the Township of West Orange that the Township is hereby authorized to award the Contract for the purchase of trees and root barriers to Galbraith pursuant to: (i) Galbraith’s bid submitted in response to the Specifications; and (ii) the updated list of tree species, annexed hereto as Exhibit “A;” and be it further RESOLVED, that the Certified Checks and/or Bid Bonds submitted by all bidders, except Galbraith, be released and returned to all other bidders; and be it further RESOLVED that a copy of this resolution shall be available in the Clerk’s office in accordance with applicable law. 19-25 January 6, 2025 STATE OF NEW JERSEY DEPARTMENT OF ENVIRONMENTAL PROTECTION GREEN ACRES PROGRAM ENABLING RESOLUTION for SUPPLEMENTAL FUNDING REQUEST WHEREAS, the New Jersey Department of Environmental Protection, Green Acres Program (“State”), provides loans and/or grants to municipal and county governments and grants to nonprofit organizations for assistance in the acquisition and development of lands for outdoor recreation and conservation purposes; and WHEREAS, the Township of West Orange has previously obtained a Green Acres loan of $0.00 and/or a Green Acres grant of $4,500,000.00 from the State [and an Urban Parks grant of $0.00 from the State] to fund the following project(s): #0722-03-005- West Orange Township Open Space Acquisition (Rock Spring Golf Course); and WHEREAS, the Township of West Orange desires to further the public interest by requesting an additional Green Acres loan of $0.00 and/or an additional Green Acres grant of $5,250,000.00 to fund the project(s); and WHEREAS, the State shall determine if the supplemental funding request is complete and in conformance with the scope and intent of the Green Acres Program, and notify the applicant of the amount of the funding award; and WHEREAS, the applicant is willing to use the State’s funds in accordance with its rules, regulations and applicable statutes, and is willing to enter into an Amendment of the Agreement with the State for the above-named project; NOW, THEREFORE, the governing body/board resolves that: 1. Susan McCartney or the successor to the office of Mayor is hereby authorized to: (a) request such a loan and/or such a grant, (b) provide additional information and furnish such documents as may be required, and (c) act as the authorized correspondent of the above-named applicant; and 2. The applicant agrees to provide the local government/nonprofit share if a match is required. 3. The applicant agrees to comply with all applicable federal, state, and local laws, rules, and regulations in its performance of the project. 4. This resolution shall take effect immediately. Karen J. 20-25 January 6, 2025 RESOLUTION WHEREAS, Chapter 25, Section 24.7 of Municipal Code of the Township of West Orange (the “Township”) sets forth the requirements for obtaining a film permit for the filming of television or motion pictures within the Township; and WHEREAS, the fees for obtaining a film permit under the application provisions of the Municipal Code provide that the fees shall be set by Resolution adopted by the Township Council; and WHEREAS, the New Jersey Motion Picture and Television Development Commission has provided a model fee schedule as part of the statewide “NJ Film Ready Community” program identifying municipalities within the State of New Jersey welcoming of the filming of movies and television; and WHEREAS, the Township seeks to establish the permit fee schedule for the issuance of a film permit for the filming of television and motion pictures within the Township as follows: 1. Basic filming permit: $150. Where an applicant requests a waiver of the provision of Chapter 25, Section 24.7, Subsection d(8) of the Township Municipal Code requiring expedited processing of a permit application within seven (7) days of the filming date, the basic filming permit fee for processing the application on an expedited basis shall be doubled. 2. Daily filming fee payable in addition to the basic filming permit when filming entirely on public property: $500 per day. Where an applicant requests a waiver of the provision of Chapter 25, Section 24.7, Subsection d(8) of the Township Municipal Code requiring expedited processing of a permit application within seven

(7) days of the filming date, the daily filming fee for processing the application on an expedited basis shall be doubled. 3. Daily filming fee payable for major motion picture when filming entirely on public property: $1,500 per day. Where an applicant requests a waiver of the provision of Chapter 25, Section 24.7, Subsection d(8) of the Township Municipal Code requiring expedited processing of a permit application within seven (7) days of the filming date, the basic filming permit fee for processing the application on an expedited basis shall be doubled 4. Filming permit for nonprofit applicants filming for educational purposes, including student films (no daily rate required): $25. 5. Filming on private property: no daily filming fee will be imposed. (the “Proposed Film Permit Fee Schedule”); and WHEREAS, the Township seeks to maintain this Proposed Film Permit Fee Schedule until such time as a new film permit fee schedule is established by resolution of the Township Council. NOW, BE IT HEREBY RESOLVED, by the Township Council of the Township of West Orange that the Township hereby sets the permits fees required for the issuance of a film permit from the Township consistent with the Film Permit Fee Schedule described herein; and it is further 4845-9559-2678, v. 1
