of, and be binding upon, the parties and their respective successors and permitted assigns. Primepoint may assign this Agreement at any time in its sole discretion. h. Electronic Transmission. The Agreement and any amendments hereto, by whatever means accepted, shall be treated in all manner and respects as an original contract and shall be considered to have the same binding legal effect as if it were an original signed version thereof delivered in person. At the request of Primepoint, Client shall execute or re-execute original forms of this Agreement and shall deliver them to Primepoint. 182-25 August 12, 2025 RESOLUTION AUTHORIZING THE ISSUANCE OF A DUPLICATE TAX SALE CERTIFICATE PURSUANT TO N.J.S.A. 54:6-52.1 WHEREAS, the Tax Collector of this municipality has previously issued a tax sale certificate to Trevor Lane which certificate is dated January 18, 2000 covering premises commonly known and referred to as Block 177.08 Lot 12 as set out on the municipal tax map then in use which certificate bears number #1085. An assignment of the tax sale certificate to Garden State Tax Liens, LLC was recorded with Essex County Clerk’s office and recorded on January 24 , 2000 book 7436 page 434. WHEREAS, the purchaser of the aforesaid tax sale certificate has indicated to the Tax Collector that they have lost or otherwise misplaced the original tax sale certificate and have duly filed the appropriate Affidavit of Loss with the Tax Collector, a copy of which is attached hereto. NOW THEREFORE BE IT RESOLVED, by the Mayor and Governing Body of the Municipality of the Township of West Orange that the Tax Collector of the municipality be and is hereby authorized, upon receipt of the appropriately executed and notarized Loss Affidavit and the payment of a fee of $100.00 per certificate, to issue an appropriate duplicate tax sale certificate to the said purchaser covering the certificate lost as previously described all in accordance with the requirements of Chapter 99 of public Laws of 1997. BE IT FURTHER RESOLVED that a copy of this Resolution and the Loss Affidavit be attached to the duplicate certificate to be issued to said purchased and that said duplicate certificate shall be stamped or otherwise have imprinted upon it the word “Duplicate” as required by law. 183-25 August 12, 2025 RESOLUTION WHEREAS, on July 16th 2025, the Township’s Department of Public Works Supervisor informed the Township Engineer that a section of pipe had collapsed at Minish (Lancaster) Park; and WHEREAS, pursuant to the Local Public Contracts Law, Emergency Contracts, N.J.S.A. 40A:11.6a the Municipal Engineer on July 21, 2025 notified the Administration and Purchasing Agent of the need to perform an emergency contract for this work to repair the pipe; and WHEREAS, on July 18th, 2025 the Township Engineer contacted the Shauger Group and conducted a field investigation and the storm sewer had collapsed in multiple locations and; WHEREAS, the incident was reported to the New Jersey Department of Environmental Protection on July 18th, 2025 to which case # 25-07-18-1026-56 was issued and residents were informed; and WHEREAS, 200 LF of 24” diameter corrugated metal pipe (RCP) was needed to be replaced; and WHEREAS, to expedite the work and to perform the emergency repair of the storm sewer pipe at Minish (Lancaster) Park to protect public health and safety an emergency contract was issued to Shauger Property Services, Inc.; and WHEREAS, Shauger Property Services, Inc. submitted an invoice for the replacement of the 24” storm sewers, backfill and park restoration dated July 30th, 2025 for the emergency repair in the amount of $145,597.10; and WHEREAS, the Municipal Engineer by letter dated August 1, 2025 recommends paying the costs of this emergency work; and WHEREAS, sufficient funds exist for this work; and WHEREAS, the Township Council concurs in the foregoing. NOW THEREFORE BE IT RESOLVED by the Township Council of the Township of West Orange that an emergency appropriation in an amount not to exceed $145,597.10 without authorization is

authorized to Shauger Property Services, Inc. for emergency storm sewer repair and restoration at Minish (Lancaster) Park. BE IT FURTHER RESOLVED that this work was performed pursuant to the provisions of the Local Public Contracts Law, Emergency Contracts, N.J.S.A. 40A:11-6 as the work was required to protect public health and welfare. ______________________________________ Karen J. July 18, 2025 Ms. Zayibeth Caraballo Township of West Orange DPW 25 Lakeside Avenue West Orange, NJ 07052 zcarballo@westorange.org Re: Installation of New 24-Inch Storm Main at Minish Park, West Orange, NJ location Shauger Property Services, Inc. proposes to supply all mobilization, labor, material, equipment, and supervision necessary to provide the following for The Township of West Orange: SCOPE OF WORK – Emergency Installation of New 24-inch Storm Main • Mobilize to Minish Park with all necessary excavation equipment and safety measures. • Excavate to expose existing 24-inch concrete storm main. • Connect a new 24-inch perforated HDPE pipe to the existing storm main with a PVC to concrete coupling • Run a new 24-inch HDPE perforated pipe approximately 180LF and wrap the pipe with Mirafi. • Install 6-12inch of ¾” clean stone for pipe bedding under the new pipe. • Install 20LF of solid HDPE pipe for the last leg of main to out flow • At the outfall install a concrete scour/pad • Install 6-12inch RIP RAP at the spillway for erosion control • Backfill trench with DGA to 4” below grade with compaction - PLEASE NOTE: (If existing soil is suitable for backfill Shauger will re-use) • Topsoil and seed trench area and all disturbed areas caused by construction • Remove existing trees that are an obstruction and in line with storm main (Directed by Township Forester) BUDEGTARY PROPOSAL COST: $225,000.00 EXCLUSIONS:  Police Traffic Directors  No Parking Signs  Permit Fees  Rock Excavation  Final Milling and Paving of Roadways  Pavement Infrared  Disposal of Contaminated Materials  Unforeseen Utility Obstructions  Downtime for Shutdowns (if necessary)  Any work not specifically identified in this proposal. All rates are based on Union wage labor being carried out during regular working hours requested. Certified payroll records to be provided if applicable. This proposal is valid for 30 days. The above project will be scheduled upon receipt of this signed proposal and the availability of material. Client is to provide all plans, specifications, if needed. All pricing excludes New Jersey Sales Tax. The purchaser shall provide an applicable tax exempt form. PLEASE NOTE: In the event of a default necessitating legal proceedings for collection purposes, the customer shall pay Shauger Property Services, Inc. a sum equal to the
