11. No Waiver. No waiver of any term, provision or condition contained in this Agreement or any breach of any such term, provision or condition shall constitute a waiver of any subsequent breach of such term, provision or condition by either party, or justify or authorize the non-observance on any other occasion of the same, or any other term, provision, or condition of this Agreement by either party. 12. Captions. The captions or the paragraph headings contained in this Agreement are solely for purposes of convenience and shall not be deemed part of this Agreement for the purpose of construing the meaning thereof or for any other purpose. 13. Ownership of Records. All records and data relating to work performed for WEST ORANGE shall belong to WEST ORANGE and shall be surrendered to WEST ORANGE upon the expiration or termination of this Agreement, except that ERHC will retain such information as is necessary to maintain a complete work record. ERHC shall not use such information or data except for the performance of the service hereunder, without the prior written permission of WEST ORANGE. 14. Entire Agreement. This Agreement represents the entire agreement between the parties hereto and supersedes all prior and contemporaneous written or oral agreements and all other communications between the parties relating to the Services to be rendered hereunder. Any additions, deletions or modifications shall not be binding on either party unless accepted and approved in writing by duly authorized representatives of both parties, subject to Municipal Council approval. In the event of any contradictory provisions between this Agreement or other documents issued by ERHC or WEST ORANGE in connection herewith, the terms set forth in the body of this Agreement shall prevail. 15. Severability. The provisions of this Agreement shall be deemed severable, and if any portion shall be held invalid, illegal or unenforceable for any reason, the remainder of this Agreement shall be effective and binding upon the parties, unless to do so would clearly violate the present legal and valid intention of the parties hereto. 16. All notices, consents, request, demands and other communications required or permitted hereunder shall be in writing (which includes facsimile) and shall be deemed given if (i) delivered personally, by overnight mail or by courier service; (ii) when sent by confirmed facsimile; or (iii) if mailed by U.S. registered or certified mail (return receipt requested) to the party at the party's address written below or at such other address as the party may have previously specified by like notice. 216-26 August 4, 2026 RESOLUTION WHEREAS, accumulated time remaining upon retirement from the Township of West Orange will be paid to the employee at the rate of pay at the time of separation; and WHEREAS, Carmine Ruta, hired on July 6, 2006, has retired in good standing from the Township of West Orange effective July 1, 2026; and WHEREAS, a calculation of Carmine Ruta’s accumulated balances are attached and have been provided to support the total payment; and WHEREAS, outside legal counsel has reviewed documentation and has verified the accuracy of the figures supporting the total payment amount, and has provided a written opinion in support thereof; and WHEREAS, Carmine Ruta has signed an Acknowledgment of Payment in Full pertaining to this matter; NOW, THEREFORE BE IT RESOLVED by the Mayor and Council of the Township of West Orange in the County of Essex, State of New Jersey that the following separated employee, Carmine Ruta, be paid in the payroll cycle immediately preceding approval of the resolution in the total amount of $41,243.08; and BE IT FURTHER RESOLVED, that the method of payment shall be determined on a case-by- case basis by the Township Chief Financial Officer upon the passage of a resolution approving payment by the Township Council. 216-26 ACKNOWLEDGMENT OF PAYMENT IN FULL This Acknowledgment of Payment in Full (hereinafter referred to as the “Acknowledgment”) is entered into this 4th day of August 2026 between the Township of West Orange (hereinafter referred to as “Township”) and Carmine Ruta hereinafter referred to as (“Ruta”) (collectively, the “Parties,” each a “Party”). WHEREAS, Ruta has been an employee with the Township from the period of July 6, 2006 – July 1, 2026; WHEREAS, a calculation of Ruta’s accumulated accrued leave time balances have been provided to support a total payment of $41,243.08. WHEREAS, outside legal counsel has reviewed documentation, including accrual balances, has verified the figures that support the total payment amount, and has provided a written opinion in support thereof; NOW, THEREFORE, the parties agree as follows: 1. The Township agrees to process payment to Ruta for all his accrued earned and unused paid leave time without further delay in the amount of $41,243.08. 2. Ruta confirms that $41,243.08 constitutes the full and final payment owed by the Township for his accrued leave time balances, and the Township shall have no further payment obligation to Ruta in connection therewith. Ruta acknowledges that there are no other outstanding claims. 3. The Parties acknowledge that all obligations relating to Ruta’s accrued leave time have been fully and separately satisfied. 4. The Parties also understand that Ruta may be applying for retirement benefits with the State of New Jersey, Division of Pensions and Benefits. Ruta understands and agrees that the ultimate approval of said pensionable benefits is at the sole risk of Ruta and any denial thereof shall in no way affect the enforceability of this Acknowledgment or diminish the consideration given therefore. 219-26 August 4, 2026 RESOLUTION AUTHORIZING A REFUND WHEREAS, on July 21, 2026, Abdul Shaibu, West Orange, NJ 07052 provided a payment in the amount of $175.00; and WHEREAS, this amount represents payment for the summer basketball camp registration for their child in the amount of $175.00; and WHEREAS, child could not participate in the basketball camp program due to scheduling issues; and WHEREAS, Mr. Shaibu is due a refund because he paid the basketball camp fee and the child is withdrawn from the program; and WHEREAS, the Recreation Department is requesting a refund in the amount of $175.00; and NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of West Orange that the cost of the refund for Mr. Shaibu be returned at their residence, , West Orange, NJ in an amount of $175.00.
