181-22 July 19, 2022 RESOLUTION WHEREAS, West Orange Office Executive Park, LLC (“WOOEP”) formerly owned four (4) properties in the Township known as 100 Executive Drive, 200 Executive Drive, 300 Executive Drive and 10 Rooney Circle (“Properties”); and WHEREAS, WOOEP agreed that it is solely responsible for any refund concerning the 2017 tax appeals which are pending; and WHEREAS, Renaud DeAppolonio LLC has agreed to provide professional services for certain pending litigation involving 2017 tax appeals pursuant to the terms and conditions set forth in the agreement annexed hereto as Exhibit “A” at WOOEP’s sole cost and expense; and WHEREAS, this engagement is not done through the open and fair process for professional services; and WHEREAS, pursuant to pursuant to N.J.S.A. 40A:11-5(1)(a)(i), the proposed professional services contract is subject to an exception to the standard bidding procedures set forth in the Local Public Contracts Law; NOW, BE IT HEREBY RESOLVED, by the Township Council of the Township of West Orange that the Mayor be and is hereby authorized to execute an agreement, in the form annexed hereto, to retain Renaud DeAppolonio LLC for the enumerated tax appeal services for tax year 2017. Such services shall be paid solely by West Orange Office Executive Park, LLC, former owner; the Municipal Clerk shall be and hereby is authorized to attest to the Mayor’s signature; and it is further
