This proposal sets forth the basic terms on which I am willing to provide such consulting services to the Township, subject to the execution of a mutually agreeable consulting agreement (the “Consulting Agreement’). It is my understanding that the Township requires provision of the services set forth on Schedule A hereto (the “Services”) in connection with the Township’s acquisition of Rock Spring Golf Club (the “Golf Course”) and selection of an operator for the Golf Course. I would be willing to perform the Services in consideration of Ten Thousand Dollars ($10,000), payable fifty percent (50%) by March 1, 2019 and the balance on April 30, 2019. If the foregoing is acceptable to the Township and the Township wishes to retain me to provide the Services, I ask you to please return a signed copy executed by an authorized signatory as a binding letter of intent. Schedule A Scope of Services Review and evaluate responses to Township’s RFP for operators of the Golf Course Assist the Township in the selection of an operator for the Golf Course Provide guidance and advice to the Township with respect to the maintenance and prospective operation of the Golf Course ¢ Communicate with Township citizens and officials regarding the Golf Course acquisition Consult with the Township regarding the acquisition of the Golf Course property e Related services ** Specifically excluded from this scope of services are: (1) ongoing oversight of the selected Golf Course operator’s operation of the golf course after the Township acquires the property and/or appointment as a contract compliance officer, (2) assisting the Township in the formulation of a long term development plan for final disposition of the Golf Course and (3) legal services of any kind.**
