167-25 July 22, 2025 RESOLUTION WHEREAS, on June 10, 2024, the Township Council for the Township of West Orange (the “Township’) adopted Resolution 177-24 which authorized the Township to enter into a Professional Services Agreement with the Essex Regional Health Commission (the “ERHC”) to provide support to the Township in connection with certain inspection requirements utilizing the work of Licensed, Registered Environmental Health Specialists (“REHS”); and WHEREAS, the funding for the Professional Services Agreement with the ERHC was provided through a grant for Enhancing Local Public Health Infrastructure (the “Local Health Grant”) awarded in 2023 from the New Jersey Association of County and City Health Officials (the “NJACCHO”); and WHEREAS, the NJACCHO has extended the term of the Local Health Grant through March 31, 2026, a copy of the letter from the NJACCHO is annexed hereto as Exhibit “A;” and WHEREAS, consistent with the extension of the Local Health Grant term, the Township seeks to extend the term of the Professional Services Agreement with ERHC to March 31, 2026 pursuant to the Addendum to the Professional Services Agreement, annexed hereto as Exhibit “B;” and WHEREAS, all other provisions of the Professional Services Agreement shall remain in full force and effect. NOW, BE IT HEREBY RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, that the Township be and is hereby authorized to enter into the Addendum to the Professional Services Agreement, annexed hereto as Exhibit “B” extending the term of the Professional Services Agreement through March 31, 2026; and be it further RESOLVED, that the Director of the Health Department is hereby authorized to execute the Addendum to the Professional Services Agreement with ERHC annexed hereto as Exhibit “B;” and be it further RESOLVED, that the Township Clerk is authorized to attest to the Director’s signature; and be it further RESOLVED, that this Resolution shall be made available in the Township Clerk’s Office for reasonable inspection in accordance with applicable law.
