217-26 ACKNOWLEDGMENT OF PAYMENT IN FULL This Acknowledgment of Payment in Full (hereinafter referred to as the “Acknowledgment”) is entered into this 18th day of August, 2026 between the Township of West Orange (hereinafter referred to as “Township”) and Jean Gabriel hereinafter referred to as (“Gabriel”) (collectively, the “Parties,” each a “Party”). WHEREAS, Gabriel has been an employee with the Township from the period of December 30, 2024– June 23, 2026. WHEREAS, a calculation of Gabriel’s accumulated accrued leave time balances have been provided to support a total payment of $338.62. WHEREAS, outside legal counsel has reviewed documentation, including accrual balances, has verified the figures that support the total payment amount, and has provided a written opinion in support thereof; NOW, THEREFORE, the parties agree as follows: 1. The Township agrees to process payment to Gabriel for all his accrued earned and unused paid leave time without further delay in the amount of $338.62. 2. Gabriel confirms that $338.62 constitutes the full and final payment owed by the Township for his accrued leave time balances, and the Township shall have no further payment obligation to Gabriel in connection therewith. Gabriel acknowledges that there are no other outstanding claims. 3. The Parties acknowledge that all obligations relating to Gabriel’s accrued leave time have been fully and separately satisfied. 4. The Parties also understand that Gabriel may be applying for retirement benefits with the State of New Jersey, Division of Pensions and Benefits. Gabriel understands and agrees that the ultimate approval of said pensionable benefits is at the sole risk of Gabriel and any denial thereof shall in no way affect the enforceability of this Acknowledgment or diminish the consideration given therefore. 226-26 August 18, 2026 RESOLUTION TO AWARD A CONTRACT EXTENSION FOR SNOW PLOWING, SALTING, REMOVAL AND SNOW HAULING FOR 2026-2027 WHEREAS, Resolution No. 187-25 was authorized by the Township of West Orange Council for Snow Plowing, Salting, Removal and Snow Hauling within the Township for 2025-2026 with Two (2), One (1) Year Options, on August 12, 2025, and WHEREAS, the Township wishes to continue contracted plowing, salting, removal and hauling services with the two bidders who submitted bids Shauger Property Services Inc, of 429 Dodd Street; Orange, NJ 07050 and Grabowski Construction, Inc, of 770 Northfield Ave; West Orange, NJ 07052; and WHEREAS, the Township desires to extend this contract as allowed in the original bid document giving the Township the option to extend the contract for two (2) one (1) year periods, and WHEREAS, the West Orange Department of Public Works has been satisfied with the past performance of these vendors, who are agreeable to existing rates to be charged, and WHEREAS, the Township Public Works Superintendent recommends extension of this contract for the extension one, and the Township Council concurs with this recommendation; and NOW, THEREFORE BE IT RESOLVED by the Municipal Council of the Township of West Orange that the Snow Removal Services contract be extended for the year(s) 2026-2027 to the vendors previously awarded as per the attached schedule A with a not to exceed amount of $225,000.00 to be used in total for both vendors. BE IT FURTHER RESOLVED that the Chief Financial Officer is hereby authorized to arrange to pay for the foregoing in accordance with the terms in the purchase order with funds certified when funds made available. 232-26 August 18, 2026 RESOLUTION TO ACCEPT TRANSFER OF USED POLICE VEHICLE WHEREAS, N.J.S.A. 40A:14-178(a) imposes liability on a municipality who hires a police officer from another municipality within 120 days of resignation, where said police officer held a probationary appointment at the time of resignation, for the examination, hiring, and training costs associated with hiring a police officer; and WHEREAS, a West Orange police officer held a probationary appointment at the time of resignation and has been hired by the Township of Cedar Grove within the 120-day statutory period; and WHEREAS, the Township of West Orange sought to recover costs totaling $27,522.96 under N.J.S.A. 40A:14-178(a) resulting from said transfer; and WHEREAS, the West Orange Police Department (the “Department”) has been maintaining an aging fleet of police vehicles and are in dire need of additional police vehicles; and WHEREAS, the Township of Cedar Grove has offered a used Marked Police Vehicle at no cost in lieu of payment for Reimbursement under N.J.S.A. 40A: 14-178; and WHEREAS, the Township Council has determined that it is in the public interest to accept transfer of said Police Vehicle; and WHEREAS, the Department has completed due diligence, concluding that said Police Vehicle is mechanically satisfactory for its age and wear and would be operationally sufficient for the Department for at least 10 years; and WHEREAS, the Police Vehicle is a 2022 Ford Explorer (29,427 original miles), bearing VIN Number 1FM5K8AB4NGB79443; and WHEREAS, the Township of Cedar Grove has agreed to transfer the Police Vehicle to the Department “as is” at no cost, with no guarantees, representations, warrantees or the like and the Department agrees to indemnify and hold the Township of Cedar Grove harmless from any claims, damages, losses, or liabilities related to the Department’s use and operation of the apparatus; and WHEREAS, the Township of West Orange shall be responsible for all registration, insurance, maintenance, and operating costs associated with the vehicle upon transfer; and WHEREAS, the Township of Cedar Grove shall supply clear Title and key to the Vehicle, as well as the Vehicle; and
