261-26 September 29, 2026 RESOLUTION WHEREAS, on January 20, 2026, the Township Council of the Township of West Orange (the “Township”) entered into an agreement (the “Agreement”) through Resolution 26- 26, with Deena B. Rosendahl, Esq., of Cleary, Giacobbe, Alfieri, Jacobs, LLC, (“Special Counsel”) for the purpose of conducting a confidential investigation of the allegations of a personnel matter concerning the acts of an official or employee of the Township in his/her official capacity; and WHEREAS, the Agreement set forth Special Counsel was to be compensated at a rate of $185.00 per hour, in a total amount not to exceed $7,500.00; and WHEREAS, Resolution 26-26 set forth that the Township Council may authorize further encumbrances if necessary; and WHEREAS, in the course of conducting the investigation, it was determined that Special Counsel should offer training services and undertake revisions to the Personnel Manual, based on the findings of the confidential investigation, which required additional funds outside the original $7,500.00; and WHEREAS, it is agreed that Special Counsel shall provide training services at a flat rate of $2,000.00; and WHEREAS, the Personnel Manual updates are estimated to take a total of 25 hours (including 5.6 hours already undertaken), at a rate of $185.00 an hour, for a total fee of $4,625.00; and WHEREAS, the Township desires to fund Special Counsel with additional encumbrances, in an amount not to exceed $6,625.00. NOW THEREFORE, BE IT RESOLVED by the Mayor and Township Council of the Township of West Orange, in the County of Essex, State of New Jersey that Deena B. Rosendahl, Esq., of Cleary, Giacobbe, Alfieri, Jacobs, LLC, be and is hereby approved for an additional encumbrance in an amount not to exceed $6,625.00; and BE IT FURTHER RESOLVED, that compensation for services rendered shall be claimed, approved and paid in the manner set forth in N.J.S.A. 40A:5-16 and pursuant to the professional service agreement entered into between the parties on January 20, 2026; and
