1 Conference Meeting – December 20, 2016 The Township Council of the Township of West Orange met in the Council Chambers, Municipal Building, and 66 Main Street, West Orange, New Jersey at 6:46 p.m. Karen J. Carnevale, Municipal Clerk, read the following statement: This is to inform the general public that this meeting is being held in compliance with Section 5 of the Open Public Meetings Act, Public Law, 1975. A notice of this meeting was emailed to the Star Ledger and the West Orange Chronicle on October 14, 2015. Roll Call: Present: Councilwoman Casalino, Councilman Guarino, Councilman Krakoviak, Councilwoman McCartney, Council President Cirilo and Mayor Parisi. Nominations for the new Council President were made. Councilwoman Casalino nominated Joe Krakoviak seconded by Councilwoman McCartney. A roll call vote was taken. All members voted “Aye.” The motion was carried for Councilman Krakoviak to serve as the 2017 Council President. The Council selected liaisons to serve on the following Boards: Planning Board-Susan McCartney, Local Assistance Board – Michelle Casalino, ERSCHA (Degnan House)-Victor Cirilo, WOSCHA (John P. Renna House) – Jerry Guarino, Downtown West Orange Alliance- Jerry Guarino, West Orange Municipal Alliance Committee-Michelle Casalino, West Orange Arts Council-Susan McCartney, Open Space and Recreation Committee-Joe Krakoviak, Public Relations Commission-Michelle Casalino, Joint Meeting Commission (2 year term) -Jerry Guarino and the Insurance Fund Commission (2 year term) -Victor Cirilo and Jerry Guarino. Jack Sayers gave an update on the Redevelopment on Main Street. 2 a. 289-16 Resolution Authorizing an Execution Session for the Purpose of Discussing Redevelopment Issues, Specifically the Foreclosure on 217 Main Street, West Orange, NJ 07052 All members voting “Aye.” The Council reconvened and Ms. Jennifer Credidio, Partner, McManimon, Scotland & Baumann, redevelopment counsel for the Township gave a brief update on the property at 217 Main Street. There was no one else who wished to be heard and the public hearing was closed. *Review of Consent Agenda *Approval of Minutes of Previous Meeting The December 6, 2016 Public Meeting minutes were approved as submitted. *Resolution(s) adopted on Consent Agenda: b. 263-16 Resolution authorizing a Joint Services Agreement with the Borough of North Caldwell for Animal Shelter Services for the year 2017 (Legal-Moon) The Borough of North Caldwell will pay the Township the sum of $3,400 per annum to be prorated on a semi-annual basis of $1,700 per period for the contract year 2017. c. 264-16 Resolution Authorizing the Collector of Taxes to Refund Payment to the Listed Taxpayer Due to an Overpayment of Taxes Due to a Payment Posted in Error – Taxpayer is a Tax Exempt Disabled Veteran (Gagliardo) d. 265-16 Resolution Authorizing the Cancellation of Property Taxes Owed on the Selecto- Flash Property, Block 7, Lot 22 and Block 9, Lot 36 which the Township has obtained title through an In Rem Tax Foreclosure (Legal-Moon)

3 e. 266-16 Resolution Authorizing the Renewal of the Township’s Contract with Benecard for Prescription Drugs Benefit for a One Year Term Beginning January 1, 2017 through December 31, 2017 (Legal-Moon) f. 267-16 Resolution Authorizing Renewal of Membership in the Garden State Municipal Joint Fund for a Period of Three Years Beginning January 1, 2017 and Ending December 31, 2019 (Legal-Moon) g. 268-16 Resolution Authorizing the Execution of a Subordination Agreement-15 White Street, Block 62, Lot 7 (Legal-Moon) h. 269-16 Resolution Authorizing the Execution of an Agreement with Vietnam and All Veterans of Brevard, Inc., Melbourne, Florida the Use of the Memorial Wall Replica at a Cost of $7,248.00 which Includes the Cost of the Display as well as Fuel and Travel Expense (Legal-Moon) This event will display a 3/5 Replica of the Vietnam Memorial Wall set up at the West Orange High School to honor Veterans of the Vietnam War and educate the public regarding the Vietnam War. This event will take place during the Fourth of July weekend in 2017. i. 270-16 Resolution Authorizing the Issuance of Raffle Licenses (Clerk) j. 271-16 Resolution Authorizing the Execution of a Subordination Agreement-12 Amos Street, Block 148.01, Lot 10 (Legal-Moon) k. 272-16 Resolution Authorizing the Execution of an Agreement to Enroll in Stop Loss Coverage with RMTS as Part of the Township’s Health Coverage for 2016 as Recommended by the Township’s Insurance Broker (Legal-Moon) l. 274-16 Resolution Authorizing the Execution of a Professional Services Agreement with Hendricks Appraisal for Appraisal Services for the Period of January 1, 2017 through December 31, 2017 at an Hourly Rate of $150.00 (Legal-Moon) m. 275-16 Resolution Authorizing the Execution of a Professional Services Agreement with Ken Kayser, Esq. to Serve as Assistant Township Attorney for the Term Beginning January 1, 2017 through December 31, 2017 at a Rate of $31,500. 4 p. 278-16 Resolution Authorizing the Execution of a Professional Services Agreement with Shirley Bishop, P.P. to Serve as Housing Consultant to the Township of West Orange for the Period of January 1, 2017 through December 31, 2017 at an Hourly Rate of $165.00 (Legal- Moon) q. 279-16 Community Development Block Grant (CDBG) 2016 Priority List (Planning-Miller) r. 280-16 Resolution Accepting Donation of Medicine Drop Box and Authorization to Sign MOU with ADAPT This resolution would authorize the Mayor to sign the Memorandum of Understanding with the Alcohol and Drug Abuse Prevention Team (“ADAPT”) regarding a medicine drop box which the Township will receive at no cost. The medicine drop box will be donated to the Township and placed in police headquarters for the purpose of giving the public an opportunity to anonymously deposit unused and/or expired medications in a safe and proper manner. The box will be affixed securely and will be monitored by the WOPD. s. 281-16 Resolution Authorizing the Renewal of an Agreement with Delta Dental for a Two Year Term from January 1, 2017 through December 31, 2018 (Legal-Moon) t. 282-16 Resolution Awarding a Contract to Rohrer Enterprises, Inc., d/b/a Rohrer Bus Sales, 314 Dickinson Street, Trenton, NJ 08638 for Three (3) 32/33 Passenger 2017 Jitney Shuttle Buses in the Amount of $83,956.00 each for a Total of $251,868.00 (Lepore) u. 283-16 Resolution Authorizing the Renewal of a Professional Services Contract with Bourne, Noll and Kenyon to Serve as Special Tax Counsel in Residential Tax Appeals for the Period of January 1, 2017 through December 31, 2017 at a Flat Fee Basis of $3,250 per Month (Legal-Moon) v. 284-16 Resolution Authorizing the Cancellation of the Tax Sale Certificates and Liens Filed on the Selecto Flash Properties Located at 18 Central Avenue and 4 Tompkins Street. Following an in rem tax foreclosure on the properties, title has vested to the Township which means that the tax liens are no longer necessary. w. 285-16 Resolution Authorizing the Professional Services Contract with the Shade Tree Department, LLC, P.O. Box 6089, West Orange, NJ to Serve as the Township’s Forester for a One Year Term from January 1, 2017 through December 31, 2017 at a Rate of $85.00 per Hour (Legal-Moon) x. 286-16 Resolution Authorizing the Professional Services Contract with Harvey Grossman, Esq. for appointment as the

5 y. 287-16 Resolution Authorizing the Execution of a Professional Services Agreement with Community Action Services for Housing Rehabilitation Services for a One Year Term from January 1, 2017 through December 31, 2017 at a Rate of $3,200 per Unit for the Rehabilitation of Single Family Units; and $7,500 per Unit for the Rehabilitation of Multi- Unit Buildings (Legal-Moon) z. 288-16 Resolution Authorizing the Execution of a Professional Services Agreement with Fox Rothschild, LLP, Attorneys at Law, 75 Eisenhower Parkway, Suite 200, Roseland, NJ to Serve as Labor Counsel for the Period of January 1, 2017 through December 31, 2017 at an Hourly Rate of $175.00 (Legal-Moon) On motion made by Councilman Guarino and seconded by Council President Cirilo, the consent agenda was approved. All members voting “Aye.” Resolution(s) Removed from Consent Agenda Resolution 273-16 a. 273-16 Resolution Authorizing an Agreement with Fairview Insurance Agency Associates, Inc. for the Provision of Risk Management Consultation Services (Legal-Moon) On motion made by Councilman Guarino and seconded by Councilwoman McCartney, the above mentioned resolution was approved. Councilwoman Casalino, Councilman Guarino, Councilwoman McCartney and Council President Cirilo voting “Aye.” Councilman Krakoviak voting “Nay.” Ordinances on Second and Final Reading Ordinance 2498-16 On motion made by Councilwoman McCartney and seconded by Councilwoman Casalino, An Ordinance Amending Chapter 7, Section 50.3 of the Revised General Ordinances of the Township of West Orange (Permit Parking in Hazel Avenue Parking Lot) was taken up on second and final reading. All members present voting “Aye.” The Council President stated that this is the scheduled time for the public hearing and asked the Clerk to read the ordinance by title only. The Council President asked if there was anyone who wished to be heard. There was no one who wished to be heard and the public hearing was closed.

6 On motion made by Councilwoman Casalino and seconded by Councilman Guarino, the above mentioned ordinance was passed on second and final reading and ordered advertised according to law. All members voting “Aye.” Ordinance(s) on First Reading Ordinance 2499-16 a. On motion made by Councilwoman McCartney and seconded by Councilman Guarino, An Ordinance Adopting a Redevelopment Plan for An Area in Need of Redevelopment Consisting of Block 9, Lots. 11.01, 11.02, 11.03, 32, 36 and Block 7, Lot 22 in Accordance with N.J.S.A. 40A:12A-1, et seq. was approved on first reading, ordered advertised according to law, to come up for second and final reading on January 3, 2017. All members voting “Aye”. Ordinance 2500-16 b. On motion made by Councilwoman McCartney and seconded by Councilman Guarino, An Ordinance Creating a Reclassification and Salary Schedule of Certain Township of West Orange Employees Setting Forth Their Titles, Classification and Salary Ranges and Adopting a Salary Guide and Establishing Employee’s Status as a Township Employee and Under the Guidelines of the New Jersey Department of Personnel was approved on first reading, ordered advertised according to law, to come up for second and final reading on January 3, 2017. All members voting “Aye”. Pending Matters/New Matters/Council Discussion The Council had a discussion with regard to the redevelopment area. At 9:26 p.m., on motion made by Councilman Guarino and seconded by Council President Cirilo, the meeting was adjourned. All members voting “Aye”.
