13. This Agreement incorporates the Nishuane Proposal dated February 13, 2024 in its entirety. To the extent of any inconsistencies between the Nishuane Proposal and the RFP, the RFP controls in its entirety. 14. NOTICE OF COMPETITVE CONTRACT RFP The Township of West Orange is soliciting proposals through the competitive contracting process in accordance with N.J.S.A. 40A:11-4.1, et seq. for the following service: Economic Development Consultant Proposal forms may be obtained in person at the Township of West Orange, 66 Main Street, Purchasing Room 111, County of Essex, West Orange, NJ 07052, Monday to Friday during regular business hours 8:30 a.m. to 4:30 p.m. or by emailing preynolds@westorange.org. Bid can also be obtained at www.westorange.org/bids All proposal addenda will be issued on the Township Website www.westorange.org/bids. All interested respondents should check the website from now through bid opening. It is the sole responsibility of the respondent to be knowledgeable of all addenda related to this procurement. Sealed proposals clearly marked with the title of project and name and address of party making submission, addressed to the West Orange Township Purchasing Department will be received by mail, or hand delivery, at the Municipal Building, 66 Main Street, West Orange, NJ 07052 on or before February 13, 2024 at 1:00pm and will be publicly opened and read at that time in the Council Chambers on the same day. No bids received after that time will be considered. Economic Development Consultant Description: Under the supervision of the Township of West Orange Mayor and Business Administrator, the Township wishes to engage a professional consultant to provide Economic Development Consulting and Support services supporting programs that market and promote West Orange as a competitive meeting, and leisure destination, and as a strategic location for business and investment by promoting business retention and expansion, supporting redevelopment, promoting new marketing and research that strengthens and broadens commercial, retail, and tourism sectors. Assess existing business conditions and inventory, environment and challenges, and assist appropriate Township partners with implementing recommendations. Scope: The successful proposer will be required to performs high level executive support, planning, project management and other support functions for the Township including, but not limited to: • Assist the Township in the development, implementation, and evaluation of its Business Retention and Expansion goals and objectives; • Advise the municipality on economic development strategies to garner investment and transformative growth using best practices for redevelopment, historic preservation, business retention and attraction, and creative placemaking; • Propose protocols, regulations, and amendments thereto, to attract and facilitate new business development; • Research and recommend incentives to attract new business development;  Implement the strategies through a smart growth approach and the use of proven NJ Development and Redevelopment tools;  Act as a liaison to investors and developers including developer negotiations under the direction of the Mayor and/or the Business Administrator; • Assist Town Planner with planning and implementation activities necessary to continue to advance the goals and objectives of the West Orange Master Plan and zoning ordinances;  Assist appropriate Township partners with developer negotiations and coordinated approval of projects as directed by the Mayor and/or the Business Administrator; 3

• Provide on-going oversight and coordination of development projects in West Orange as assigned and/or directed by the Mayor or Business Administrator; • Provide support activities relative to transportation and other infrastructure initiatives in the State to ensure maximum participation by and benefit to the Township of West Orange; • Provide for the development and use of comprehensive data and research including developing and maintaining current economic and demographic information; demographic and economic data and other information used to respond appropriately to inquiries and requests about the Township’s business economics. Specifically determine strengths and weaknesses of commercial corridors through an evaluation of existing business inventory, analyze industry clusters and major employers in West Orange, establish a “One-Stop Shop” for current and prospective business stakeholders • Work with the Township Administration to build and maintain a database of information about businesses and major employers in West Orange. • Conduct a retail gap analysis to determine which types of businesses are lacking, which types are overrepresented, and proper responses to each category • Create an “Action Plan” focused on boosting town wide Economic Development • Coordinate the preparation of a 5-year economic development strategic plan to capitalize on existing economic opportunities, suggesting potential solutions to existing economic development challenges, proposing activities, projects, and programs meant to implement goals set forth in the plan. The final plan shall include specific recommendations for implementation of these activities. • Review the Master Plan annually and propose amendments that foster community and neighborhood economic growth, complete and green streets. • Collaborate with Township’s grant writers to bolster economic growth. Credentials with Township proposer must demonstrate that he/she has: • Licensed and Nationally Certified Planner with an Earned a Bachelor’s degree in Business or Public Administration, Economic Development, Finance, Economics, Urban Development, Marketing, Planning or a closely related field from an accredited college or university, a Master’s Degree from an Accredited College or University in Urban Planning is preferred;

• Five (5) or more years of relevant experience in roles that demonstrate a proven ability to communicate, manage multiple projects, overcome obstacles, and work effectively in a fast- paced environment or any combination of education, training, and experience which provides the required knowledge, skills, and abilities to perform the duties and responsibilities of the job; and/or,  A background in Municipal economic development strategy, Real estate development negotiations, Redevelopment Planning, Public engagement and Government Relations & approvals; and/or,  Maintained current knowledge of economic trends and activities impacting West Orange’s competitiveness; stays current on issues and trends that affect economic development partners, companies, and investment activity; maintains a pulse of general economic development priorities and trends; and/or, • Developed and maintained professional business relationships with clients, brokers, consultants, site selectors and allies regionally, nationally, and internationally through personal contact and participation in professional industry related organizations; and/or, A State of New Jersey Professional License in an abovementioned field of study including, but not limited to the Law and/or Planning. Information to be provided in bid submission:  Consultant Profile: Provide an overview of the consultant’s experience and qualifications .  References: Provide contact information for at least three references the consultant has worked with.  Cost Proposal: Present detailed budget, including all costs associated with the scope of work outlined. SUBMISSION OF PROPOSALS 1. Sealed bid shall be received by the contracting unit, Township of West Orange, Essex County, New Jersey (hereinafter referred to as "TOWNSHIP") in accordance with public advertisement as required by law, with a copy of said notice being attached hereto and made a part of these specifications. 2. Sealed bid will be received by the designated representative at the time and place stated in the 5

Notice to Bidders, and at such time and place will be publicly opened and read aloud. 3. Submit the bid in a sealed envelope addressed to the:  Township of West Orange, 66 Main St., West Orange, NJ 07052 Attn: Panayiota Reynolds, Purchasing Agent, Room 111  Bearing the name and address of the vendor written on the face of the envelope.  Clearly marked "PROPOSAL" with the contract title/’’’. 4. It is the vendor’s responsibility to see that proposals are presented to the TOWNSHIP on the time and at the place designated. Bids may be hand delivered or mailed; however, the TOWNSHIP disclaims any responsibility for a bid forwarded by regular or overnight mail. If the bid is sent by express mail service, the above address must also appear on the outside of the express mail envelope. Bids received after the designated time will be returned unopened. 5. Sealed bids forwarded to the TOWNSHIP before the time of opening may be withdrawn with a written request and evidence showing that the individual is or represents the principal or principals involved in the proposal. Once proposals are opened, they shall remain firm for a period of sixty (60) calendar days. 6. All prices and amounts must be written in ink or preferably machine-printed. a. Bids containing any conditions, omissions, unexplained erasures or alterations, items not called for in the proposal form, attachment of additive information not required by the specifications, or irregularities of any kind, may be rejected by the TOWNSHIP. Any changes, whiteouts, strikeouts, etc. in the proposal must be initialed in ink by the person signing the proposal. 7. Each bid form must give the full business address, business phone, fax, e-mail if available, and the contact person of the bid. An authorized representative must sign your submission as follows: a. Bids by partnerships must furnish the full name of all partners and must be signed in the partnership name by one of the members of the partnership or by an authorized representative, followed by the signature and
