261-26 September 29, 2026 RESOLUTION WHEREAS, on January 20, 2026, the Township Council of the Township of West Orange (the “Township”) entered into an agreement (the “Agreement”) through Resolution 26- 26, with Deena B. Rosendahl, Esq., of Cleary, Giacobbe, Alfieri, Jacobs, LLC, (“Special Counsel”) for the purpose of conducting a confidential investigation of the allegations of a personnel matter concerning the acts of an official or employee of the Township in his/her official capacity; and WHEREAS, the Agreement set forth Special Counsel was to be compensated at a rate of $185.00 per hour, in a total amount not to exceed $7,500.00; and WHEREAS, Resolution 26-26 set forth that the Township Council may authorize further encumbrances if necessary; and WHEREAS, in the course of conducting the investigation, it was determined that Special Counsel should offer training services and undertake revisions to the Personnel Manual, based on the findings of the confidential investigation, which required additional funds outside the original $7,500.00; and WHEREAS, it is agreed that Special Counsel shall provide training services at a flat rate of $2,000.00; and WHEREAS, the Personnel Manual updates are estimated to take a total of 25 hours (including 5.6 hours already undertaken), at a rate of $185.00 an hour, for a total fee of $4,625.00; and WHEREAS, the Township desires to fund Special Counsel with additional encumbrances, in an amount not to exceed $6,625.00. NOW THEREFORE, BE IT RESOLVED by the Mayor and Township Council of the Township of West Orange, in the County of Essex, State of New Jersey that Deena B. Rosendahl, Esq., of Cleary, Giacobbe, Alfieri, Jacobs, LLC, be and is hereby approved for an additional encumbrance in an amount not to exceed $6,625.00; and BE IT FURTHER RESOLVED, that compensation for services rendered shall be claimed, approved and paid in the manner set forth in N.J.S.A. 40A:5-16 and pursuant to the professional service agreement entered into between the parties on January 20, 2026; and

BE IT FURTHER RESOLVED, that this Resolution shall be made available in the Clerk’s office for reasonable inspection in accordance with applicable law. I, Karen J. 262-26 September 29, 2026 RESOLUTION AUTHORIZING A REFUND WHEREAS, on June 3, 2026, Mona Boewe, , West Orange, NJ 07052 provided a security deposit in the amount of $125.00 for the rental of Katz Community Center on September 12, 2026; and WHEREAS, a security deposit is returned following the rental of the Katz Community Center if it is determined that the rental agreement has been complied with and the condition of the hall is deemed satisfactory; and WHEREAS, Mona Boewe is due a refund because she has complied with the rental agreement and all conditions were satisfactorily met; and WHEREAS, the Recreation Department is requesting a refund for Mona Boewe in the amount of $125.00; and NOW, THEREFORE, BE IT RESOLVED by the Township Council of the Township of West Orange that the cost of the security deposit for Katz Civic Center be returned Mona Boewe at her residence, , West Orange, NJ in an amount of $125.00. 263-26 September 29, 2026 RESOLUTION WHEREAS, N.J.S.A. 52:34-6.2(b)(3) and local finance notice 2012-10 authorizes a municipality to utilize a national cooperative for the purchase of goods and services in lieu of a formal procurement process pursuant to the Local Public Contract law; and WHEREAS, Sourcewell is a service cooperative created under the laws of the state of Minnesota authorized to act as a nationally recognized cooperative through which government entities purchase goods and services from vendors contracting with Sourcewell; and WHEREAS, the Township of West Orange (the “Township”) desires to enter into an Agreement with Sharp Electronic Corporation for the purchase of muti use copiers; and WHEREAS, Sharp Electronic Corporation is a vendor who holds a contract with Sourcewell through January 10, 2029 for muti use copiers under Contract #112124-SEC; and WHEREAS, the Township has previously acted in accordance with New Jersey public procurement statutes and regulations to formally join Sourcewell as a nationally recognized cooperative for the purchase of goods and services and has maintained an active membership with Sourcewell since 2015 under membership #2819; and WHEREAS, the Purchasing Agent has advertised on the Township Website on September 3, 2026 a Notice of Intent, pursuant to the Local Finance Notice 2012-10 to utilize the Sourcewell Cooperative Contract #112124-SEC with Sharp Electronic Corporation, 100 Paragon Drive, Montvale, NJ 07645 and provided a comment period to allow vendors a mechanism to provide alternate proposals; and WHEREAS, there were no comments presented; and WHEREAS, the Township’s Purchasing Agent has determined that the cost for entering into an agreement for the purchase of multi-use copiers with Sharp Electronic Corporation would provide the Township a cost savings compared to engaging in a procurement process to obtain the same services; and WHEREAS, Alltech Business Solutions an authorized dealer for Sharp Electronic Corporation has prepared a quote for the multi-use copiers, annexed hereto as Exhibit “A” and NOW THEREFORE, BE IT RESOLVED, by the Township Council of the Township of West Orange, that the Township is
