158-25 June 12, 2025 RESOLUTION AUTHORIZING THE TOWNSHIP OF WEST ORANGE TAX COLLECTOR TO PREPARE AND MAIL ESTIMATED TAX BILLS IN ACCORDANCE WITH P.L. 1994, c.72 WHEREAS, the Essex County Board of Taxation has not certified the General Tax Rate throughout Essex County for 2025 and the West Orange Township Tax Collector will be unable to mail the Township’s 2025 tax bills on a timely basis; WHEREAS, the Township of West Orange Tax Collector in consultation with the West Orange Township Chief Financial Officer has computed an estimated tax levy in accordance with N.J.S.A. 54:466.3, and they have both signed a certification showing the tax levies for the previous year, the tax rates and the range of permitted estimated tax levies; WHEREAS, in accordance with Chapter 72, P.L. 1994, the Township Council approves the estimated tax levy to enable the Township to meet its financial obligations, maintain the tax collection rate, and provide uniformity for tax payments and save the unnecessary cost of interest expenses on borrowing. NOW, THEREFORE BE IT RESOLVED BY THE TOWNSHIP COUNCIL OF THE TOWNSHIP OF WEST ORANGE, IN THE COUNTY OF ESSEX AND STATE OF NEW JERSEY on this 12th day of June 2025, as follows: 1. The Township of West Orange Tax Collector is hereby authorized and directed to prepare and issue estimated tax bills for the Township for the third installment of 2025 taxes. The Tax Collector shall proceed and take such actions as are permitted and required by L. 1994, c.72 (N.J.S.A. 54:4-66.2 and 54.4-66.3) 2. The entire estimated tax levy for the 2025 is hereby set at $265,321,592.74, with the estimated tax rate of 2.653. In accordance with law the third installment of 2025 taxes shall not be subject to interest until the later of August 10 or twenty fifth calendar day after the date the estimated tax bills were mailed. The estimated tax bills shall contain a notice specifying the date on which interest may begin to accrue. 159-25 June 24, 2025 RESOLUTION TO AWARD A CONTRACT TO COMPUTER SQUARE FOR THE WEST ORANGE POLICE AND FIRE EMERGENCY INFOSHARE/CAD/RMS SOFTWARE MAINTENANCE RENEWAL WHEREAS, the West Orange Police and Fire Departments utilize an emergency services computer aided (INFOSHARE/CAD/RMS) software for dispatch, Police and Fire reporting and records management by the Computer Square dba CSI Technology Group, and WHEREAS, N.J.S.A 40A:11-5(1)(dd) permits the support and maintenance of proprietary computer hardware and software without public advertising for bids and the OEM Coordinator/ IT Director determined said software is proprietary; and WHEREAS, the Police Department has researched other CAD software that is available, see attached Exhibit A and after reviewing all the options, have concluded that keeping the current software would be the most cost-effective option, and WHEREAS, the term for this maintenance agreement for lenslock BWC Interface 05.22.25- 09.28.26, maintenance for InfoShare Saas Police & Fire CAD/RMS 09.29.202509.28.26; and WHEREAS, Computer Square, Inc dba CSI Technology Group has submitted all required documentation for this award in accordance with the New Jersey State Statues. NOW IT BE RESOLVED, by the Council of the Township of West Orange to award a contract in the amount not to exceed of $107,034.24 to: Computer Square, Inc. dba CSI Technology Group 330 Mac Ln Keasbey, NJ 08832 BE IT FURTHER RESOVLED, that the Purchasing Agent will execute a purchase order with stipulated terms on behalf of the Township with funds certified available by the Chief Financial Officer. 160-25 June 24, 2025 RESOLUTION AUTHORIZING MILLENIUM STRATEGIES LLC EXERCISE OF OPTION FOR AN ADDITIONAL YEAR TO PROVIDE GRANT WRITING SERVICES FOR THE TOWNSHIP NOT TO EXCEED $46,800 PER YEAR WHEREAS, the Township of West Orange (the “Township”) requires grant writing services to consult, plan, prepare, submit and otherwise assist the Township with the application for grant funding and to research grant opportunities for the Township; and WHERAS, on June 9, 2023, the Township advertised a Request for Proposal (the “RFP”) for a Contract for Grantwriter Services (the “Contract”) WHEREAS, on August 22, 2023, the Township adopted Resolution 293-23 authorizing the award of the Contract to Millennium Strategies, LLC, a limited liability company of the State of New Jersey having its principal offices at 60 Columbia Road, Bldg B, Suite 230, Morristown, New Jersey 07960 (“Millennium”) at the rate of $3,900 per month, not to exceed $46,800 per year and a rate of $150 per hour for the Add-Alternate option to provide State and County Grant Administration Services on an as needed basis (the “Add Alternate Option”) (collectively, the “Proposal”); WHEREAS, the Township and Millenium wish to exercise the second of two one-year options allowable under Section One (1) of the Contract annexed hereto as Exhibit “A” NOW BE IT THEREFORE RESOLVED, that the Township Council of the Township of West Orange hereby authorizes the Township to enter into a second one-year extension of the Contract which shall begin on August 1, 2025 and expires on July 31, 2026. 293-23 CONTRACT BETWEEN THE TOWNSHIP OF WEST ORANGE AND MILLENNIUM STRATEGIES LLC FOR GRANTWRITER SERVICES THIS AGREEMENT, made this 22 day of August 2023 by and between: TOWNSHIP OF WEST ORANGE, a municipal corporation of the State of New Jersey, having its principal offices at 66 Main Street, West Orange, New Jersey, hereinafter referred to as “Township;” and MILLENNIUM STRATEGIES LLC a limited liability company of the State of New Jersey having its principal offices at 60 Columbia Road, Bldg B, Suite 230, Morristown, New Jersey 07960-4635, hereinafter referred to as “Contractor”. WITNESSETH: WHEREAS, the Township requires grant writing services to consult, plan, prepare, submit and otherwise assist the Township will the application for grant funding and to research grant opportunities for the Township; and WHEREAS, on May 16, 2023, the Township Council adopted Resolution 173-23 authorizing the Township to utilize Competitive Contracting in lieu of public bidding pursuant to the governing provisions of the Local Public Contracts Law, N.J.S.A. 40A:11-4.1, et. seq.; and WHEREAS, on June 9, 2023, the Township advertised a Request for Proposal (the “RFP”) for a Contract for Grantwriter Services (the “Contract”) with a base term of three (3) years with an option to extend the Contract for two additional one-year term s and setting forth a deadline for submission of proposals for July 11, 2023; and WHEREAS, on July 11, 2023, the Contractor submitted a proposal in response to the RFP, including a proposed rate of $3,900 per month, not to exceed $46,800 per year and a rate of

$150 per hour for the Add-Alternate option to provide State and County Grant Administration Services on an as needed basis (the “Add Alternate Option”) (collectively the “Proposal”); and WHEREAS, the Township’s Qualified Purchasing Agent reviewed the Proposal and prepared a report recommending the award of the Contract to the Contractor. NOW THEREFORE, in consideration of the foregoing and of the mutual covenants hereinafter stated, the parties do hereby agree as follows: 1. The Commencement Date of this Contract shall be August 1, 2023. The contract term shall run for one (1) year from the commencement date of this Contract, until July 31, 2024 (“Base Term”). The Township shall have the right to extend this Agreement for two (2) additional one (1) year terms (the “Extension(s)”) following the expiration of the Base Term. Contractor shall provide the services set forth in the Township’s RFP, annexed hereto as Exhibit “A,” including the section describing the Vendor’s responsibilities as well as the section captioned “Instruction to Bidders.” Contractor shall also provide the Add Alternate Option consistent with the terms set forth in the RFP. Contractor shall also provide the services set forth in the Contractor’s Proposal dated July 6, 2023, (Contractor’s Proposal”), annexed hereto as Exhibit “B,” under the fee structure set forth in Section of the Contractor’s Proposal captioned “Proposal” at a rate of $3,900 per month, not to exceed $46,800 per year as set forth therein as well as the $150 per hour rate for the performance of the Add Alternate Option as set forth therein. To the extent of any inconsistency between the Contractor’s Proposal and this Contract, this Contract controls in all respects. To the extent of any inconsistency 2 4826-7835-3876, v. 1

between the Contractor’s Proposal and the RFP, the RFP shall govern as to that inconsistency over the Contractor’s Proposal. 5. Contractor hereby indemnifies the Township and saves it harmless, including Township employees, representatives, agents and servants, from and against any and all losses, claims, liabilities and expenses including legal fees and costs which may arise or be claimed against the Township, its agents, representatives, servants or employees in connection Contractor’s actions under this Contract that are in violation of any governing federal, state and local laws or regulations. Township agrees that all funds due Contractor for properly providing the services described in this Contract will be provided to Contactor in a reasonable and timely manner. 6. Any notices required hereunder to the Township shall be hand delivered or mailed by certified first-class postage prepaid return receipt requested to the Municipal Clerk, Township of West Orange, 66 Main Street, West Orange, New Jersey 07052, or other such address as the Township may designate in writing to Contractor, with a copy to Richard D. Trenk, Esq., Trenk Isabel Siddiqi & Shahdanian P.C., 290 W. Mt. Pleasant Avenue, Suite 2370, Livingston, New Jersey 07039. 7. This Contract shall be construed in accordance with the laws of the State of New Jersey without regard to conflict of law principles. The Parties consent to the personal and subject matter jurisdiction of the Superior Court of New Jersey, Essex County for resolution of any and all claims arising out of or in connection with this Contract, The Parties waive any right to a jury as to any and all issues. TOWNSHIP OF WEST ORANGE COMPETITIVE CONTRACT REPORT FOR GRANT WRITER SERVICES FOR THE TOWNSHIP OF WEST ORANGE Evaluation and Recommendation of an Award for Grant Writer Services Contract for the Township of West Orange for three (3) years with the option to extend 2 one-year periods. This report was prepared in accordance with the requirements of competitive contracting under the Local Public Contracts Law, N.J.S.A.40A:11-4.1 et seq., for reasons explained herein. History Township Council for the Township of West Orange (the "Township") adopted Resolution 173-23 on May 16, 2023 which authorized the Township to utilize Competitive Contracting in lieu of public bidding to award a contract for Grant Writer Services for the Township. On June 9,2023 the Township of West Orange (TOWNSHIP) advertised for bids in the Star-Ledger and Township website, due July 11, 2023 at 11:00 a.m.; One (1) bid was received.
